Ontop Ambassadors Program — Terms and Conditions
These Terms and Conditions (the “Terms” or “T&Cs”) are applicable to all individuals who participate in the Ontop Ambassadors Program (the “Program”) operated by Ontop Holdings Inc., a corporation organized under the laws of the State of Delaware (“Ontop”, “we”, “us”, or “our”).
🧐 PLEASE READ THESE TERMS CAREFULLY BEFORE PARTICIPATING IN THE PROGRAM. THESE TERMS ARE NON-NEGOTIABLE.
By participating in the Program, you agree to be bound by these Terms and Ontop’s General Terms and Conditions.
1. Program Overview 🪂
The Ontop Ambassadors Program is an invitation-only referral program that allows approved participants (“Network Partners”) to introduce companies to Ontop’s platform and earn commissions based on successful client activations.
The Program replaces any prior referral or ambassador programs previously offered by Ontop. Participation in any prior programs does not grant any rights under this Program unless expressly agreed by Ontop in writing.
2. Who or What is That? 🙋
“Network Partner” or “Ambassador” means an individual who has been invited, accepted into the Program, and approved by Ontop to participate.
“Referred Company” means a company submitted by a Network Partner through the official Ambassador portal.
“Activation Event” means the first successful payroll payment made by a Referred Company on the Ontop platform.
“Direct Commission” means the fixed amount earned by a Network Partner upon an Activation Event.
“Network Override Earnings” means the percentage-based earnings derived from commissions generated by recruited partners within a Network Partner’s referral network, up to two (2) levels.
“Tier” means the level assigned to a Network Partner based on the number of successfully activated Referred Companies.
“Ontop Platform” means the proprietary software platform operated by Ontop for managing contractor relationships, onboarding, and payments at www.getontop.com.
3. Elegibility 🎟️
3.1 Participation in the Program is invitation-only. Individuals must be invited by Ontop or an authorized Network Partner and approved by Ontop.
3.2 Participants must be at least eighteen (18) years old and capable of entering into legally binding agreements.
3.3 Ontop reserves the right, at its sole discretion, to approve, reject, or remove any participant from the Program at any time.
4. Program Structure and Commissions 🧑🏫
The Program includes three (3) partner tiers, determined based on the number of successfully activated Referred Companies:
Tier upgrades are automatic, permanent, and non-reversible. The Activation Event that triggers a tier upgrade will be compensated at the rate applicable to the previous tier. Updated rates apply only to subsequent Activation Events.
A Network Partner earns a Direct Commission when:
Only one (1) Direct Commission is payable per Referred Company
Network Partners may earn additional commissions based on their referral network:
No earnings apply beyond Level 2.
Override percentages are based on the Network Partner’s Tier at the time of the Activation Event.
5. Referral Validity 🧑🏫
5.1 A referral is valid only if:
5.2 Only the first valid submission of a Referred Company will be recognized.
5.3 Referrals that do not result in an Activation Event will not generate commissions.
5.4 Ontop reserves the right to reject, invalidate, or disqualify any referral at its sole discretion.
5.5 Ontop’s determination regarding referral validity, attribution, and commission eligibility shall be final and binding.
6. Payout Process 💳
6.1 Commissions are paid through the Ontop Global Account or any other method designated by Ontop.
6.2 Network Partners must provide accurate payout details to receive commissions.
6.3 Payments are processed on a weekly basis (every Wednesday), subject to validation.
6.4 Ontop reserves the right to delay or withhold payments in cases of suspected fraud, disputes, or non-compliance with these Terms.
6.5 Network Partners are solely responsible for any taxes, duties, or obligations arising from commissions received. Ontop does not withhold taxes unless required by law.
7. Restrictions and Prohibited Conduct 🚫
Participants must not:
Ontop reserves the right to suspend accounts, revoke commissions, or terminate participation in case of fraud, abuse, or violations of these Terms.
8. Governing Documents and Policies 📄
8.1 💻 Client General Terms and Conditions. The Client General Terms and Conditions govern Ontop Services to its Clients in general (“Client T&Cs”). Any definitions that are not defined by these Terms will have the meanings ascribed to them in the Client T&Cs.
8.2 🔐 Privacy Policy. The Ontop Privacy Policy provides information on how Ontop collects, processes, uses, retains and discloses personal data and/or other information that it receives from Participants that sign up for this Program. Participants acknowledge and understand that Ontop may collect, process, use, retain and disclose User personal data and/or other information pursuant to Ontop’s Privacy Policy, as updated from time to time.
8.3 🧺 AML Policy. Your access to the Program is also subject to our Anti-Money Laundering Policy.
9. Term and Termination ⏳✂️
Subject to this Section, these Terms will remain in full force and effect while you are affiliated with the Program. Even after your rights under these Terms are terminated, any of the provisions hereunder which by their nature are meant to survive expiration or early termination of these Terms for any reason will remain in effect.
10. General 🪖
10.1 🔀 Changes. These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an email to the last email address you provided to us (if any), and/or by prominently posting notice of the changes on our website. You are responsible for providing us with your most current email address. In the event that the last email address that you have provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the email containing such notice will nonetheless constitute effective notice of the changes described in the notice. Any changes to these Terms will be effective immediately. Continued participation in the Program following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
10.2 ⚖️ Governing Law. These Terms and Conditions will be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Each party irrevocably agrees that the state and federal courts in Miami-Dade County, Florida will have jurisdiction to settle any such dispute or claim.
10.3 Electronic Communications. The communications between you and Ontop use electronic means, whether you use our Website or send us emails. For contractual purposes, you (a) consent to receive communications from us in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Company provides to you electronically satisfy any legal requirement that such communications would satisfy as if it were a hardcopy. The foregoing does not affect your non-waivable rights.
10.4 Entire Terms. These Terms constitute the entire agreement between you and us regarding the Program. Our failure to exercise or enforce any right or provision of these Terms shall not be constituted as a waiver of such right or provision. The section titles used in these Terms are for convenience only and have no legal or binding effect. The word “including” means “including without limitation”. If any provision of these Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. Your relationship to Ontop is that of an independent contractor, and neither party is an agent or partner of the other. These Terms and your rights and obligations hereunder may not be assigned, subcontracted, delegated or otherwise transferred by you without Ontop’s prior written consent, and any attempted assignment, subcontracting, delegation or transfer in violation of the foregoing will be null and void. Ontop may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.
10.5 Acceptance of Terms. By participating in the Program, you acknowledge that you have read, understood, and agreed to these Terms.
