These terms and conditions (“Terms”) regulate the “Switch to Ontop - Contract Buyout” campaign (“Campaign”). Through this Campaign, qualified businesses that switch to Ontop from another payroll provider may be eligible to receive reimbursement or credits equivalent to the early termination fees or remaining value of their previous payroll provider agreement.
1. DEFINITIONS:
1.1 “Campaign Period” means the period between Tuesday, April 1, 2025, and Wednesday, April 1, 2026.
1.2 “Qualified Business” means a company that meets all eligibility requirements as outlined in Section 2.1.
1.3 “Contract Buyout” refers to the financial benefit granted by Ontop to Qualified Businesses, in the form of reimbursement or platform credits, to offset transition costs from previous providers.
2. CAMPAIGN RULES:
a. Be a current active customer of a competitor (e.g., Deel, Rippling, Papaya, etc.).
b. Present valid documentation of their existing contract, including termination clause and contract end date.
c. Sign up and complete onboarding with Ontop.
d. Onboard a minimum of five (5) contractors onto the Ontop platform.
e. Successfully complete at least one payroll cycle through Ontop.
f. Submit any required documentation through the designated onboarding form available on Ontop’s website.
3. GENERAL CONDITIONS OF CAMPAIGN:
3.1 Ontop may reimburse or credit the client for the remaining value of their current payroll provider contract, subject to internal evaluation and approval.
3.2 The reimbursement terms and amount will be assessed on a case-by-case basis.
3.3 Participants must submit valid documentation outlining the remaining contractual value and/or early termination fees.
3.4 Compensation, if approved, may be issued either as a direct reimbursement or as a credit within the Ontop platform.
3.5 Ontop reserves the sole discretion to approve or reject any reimbursement or credit request. Not all submissions may qualify.
3.6 Limitation of Liability. By participating in the Campaign, you agree to release Ontop, its affiliates, and representatives from any claims or liability arising from your participation. Ontop is not responsible for any technical issues, system failures, or other problems that may result in lost or incomplete transactions.
3.7 Governing Law and Dispute Resolution. These Terms are governed by the laws of the State of Delaware. Any disputes arising from these Terms will be resolved through binding arbitration on an individual basis, as outlined in the Ontop Card Terms of Service.
3.8 Data Privacy. By participating in the Campaign, you consent to the collection and use of your personal information as described in our Privacy Policy.
4. LIMITATIONS & EXCLUSIONS:
4.1 This offer is only available to new Ontop customers; it is not valid for existing Ontop clients.
4.2 The Campaign offer cannot be combined with other Ontop promotions, campaigns, or discounts.
4.3 Ontop may deny reimbursement if documentation is found to be fraudulent, misleading, or incomplete.
4.4 Offer applies to qualified businesses only. Coverage of provider transition fees is contingent on specific terms and conditions, which may vary. Contact a sales representative for a personalized quote and complete details.
5. REIMBURSEMENT TIME:
5.1 Once documentation is validated and onboarding is completed, Ontop will issue the reimbursement or credit within thirty (30) business days.
6. GENERAL CONDITIONS:
6.1 Ontop reserves the right to (a) modify, suspend, or terminate the Campaign at any time and (b) change eligibility criteria or documentation requirements at its sole discretion.
6.2 By participating in the Campaign, the Participant agrees to release Ontop and its affiliates from any liability arising from participation or use of the benefit.
6.3 These Terms shall be governed by the laws of the State of Delaware. Any dispute that cannot be resolved amicably shall be subject to binding arbitration.
