“Ontop New EOR Client Discount”

These terms and conditions (these “Terms”) regulate the “Ontop New EOR Client Discount” campaign (this “Campaign”). Through the Campaign, new clients of Ontop EOR Services will be eligible to receive a full discount for Ontop IC Services during the Campaign Period (as defined below).

1. DEFINITIONS:

1.1 “Campaign Period” means the period between Friday, June 10th, 2022, 12:00 am (GMT-5) and Wednesday, July 20th, 2022, 11:59 pm (GMT-5)

1.2 “Client” means the individuals or legal entities that engage Ontop Services. Conversely, “New Client” means a Client that has yet to engage any Ontop Services.

1.3 “Full-time Employee” or “FTE” means a full-time, registered employee in the jurisdiction where EOR Services are provided for by Ontop.

‍

1.4 “Ontop EOR Services” or “EOR Services” mean the services that Ontop provides as an Employer of Record (EOR) to hire FTEs on behalf of its Clients.

1.5 “Ontop IC Services” or “IC Services” mean the services provided by Ontop contract, onboard, make payments to and/or manage its relationships with local and international independent contractors through the Ontop Platform.

1.6 “Ontop Platform” or the “Platform” means the software as a service (SaaS) platform available via login through Ontop website located at www.getontop.com, as well as through mobile apps available on Apple iOS, Android, among others.

1.7 “Ontop Services”, as a general term, means any and all services offered by Ontop, whether through the Ontop Platform or otherwise.

2. CAMPAIGN RULES:

2.1 This Campaign applies to all New Clients who acquire Ontop EOR Services to hire FTEs. Existing Clients that have already acquired any Ontop Services (whether Ontop EOR Services, Ontop IC Services or otherwise) will not be eligible to participate in this Campaign.

2.2 Under this Campaign, New Clients will be entitled to a six (6) month full discount of fees for Ontop IC Services (“New Client Discount”), limited to a maximum of five (5) independent contractors (“IC Discount Limit”). Ontop EOR Services still apply and normal fees for Ontop IC Services will apply after the discount period and for each independent contractor beyond the IC Discount Limit.

2.3 For the avoidance of doubt, the New Client Discount is applicable to IC Services only, whereas the condition for eligibility for the New Client Discount is dependent on the acquisition of Ontop EOR Services as a New Client.

3. GENERAL CONDITIONS OF CAMPAIGN:

3.1 The Campaign will be valid throughout the Campaign Period.

3.2 Ontop reserves the right to (a) cancel the Campaign and (b) to block a Contractor’s account at any time if it is determined that fraud or unlawful action is taking place in order to obtain the benefit of the Card Bonus.

3.3 Ontop reserves the right to modify the conditions of eligibility for this Campaign and/or to cancel the Campaign, at any time and at its sole discretion.

3.4 Ontop reserves the right, at its sole discretion, to modify, change or update these Terms at any time. Modifications will be communicated by Ontop and will take effect immediately from the time of publication.

3.5 Please refer to our Ontop Platform Terms of Service and Privacy Policy (collectively the “Ontop Platform Terms”), which shall govern any matters not explicitly covered by these Terms. All participants in the Campaign will need to have explicitly accepted our Ontop Platform Terms to be eligible for the New Client Discount. Any capitalized terms in these Terms that are not defined herein shall have the meaning ascribed to them within the Ontop Platform Terms.
