Ontop Reserve – “Reserve Power-Up May” Campaign Terms and Conditions

These Terms and Conditions (the “Terms”) govern the Ontop Reserve – “Reserve Power-Up” Campaign (the “Campaign”).

During the Campaign Period, eligible Ontop users who subscribe to the annual Ontop Reserve Plan will receive enhanced cashback on their first Ontop Card purchase, designed to drive annual Reserve adoption and first purchase activation simultaneously.

1. DEFINITIONS:

1.1 “Campaign Period”

Means the period between May 5, 2026, at 12:00 am (GMT-5) and May 31, 2026, at 11:59 pm (GMT-5).

1.2 “Activation Window”

Means the 7-calendar-day period starting from the moment the Participant successfully subscribes to the annual Reserve Plan.

1.3 “Ontop Card”

Means the prepaid card (physical or digital) issued by Ontop and linked to the user’s Ontop Wallet.

1.4 “Annual Reserve Plan”

Means the annual (12-month) paid subscription plan offered by Ontop under the Reserve product.

For the avoidance of doubt, monthly Reserve subscriptions are not eligible for this Campaign.

1.5 “First Eligible Transaction”

Means the first successful purchase transaction made using the Ontop Card within the Activation Window.

1.6 “Campaign Cashback”

Means the 60% cashback applied to the First Eligible Transaction, capped at $60 USD, credited after validation.

1.7 “Participant(s)”

Means eligible Ontop users who subscribe to the Annual Reserve Plan during the Campaign Period and complete a First Eligible Transaction in accordance with these Terms.

1.8 “Eligible Subscription”

Means a paid activation of the Annual Reserve Plan.

For the avoidance of doubt, subscriptions initiated through a free trial, promotional access, or deferred billing are not considered Eligible Subscriptions for the purposes of this Campaign.

2. CAMPAIGN ELIGIBILITY:

To participate in the Campaign, users must:

• Have an active Ontop account
• Be part of Ontop’s targeted segments, including:
  • Builders
  • Power Users without Reserve
  • Workers with balance but no Reserve
  • Workers with Ontop Card but no subscription
• Successfully subscribe to the Annual Reserve Plan during the Campaign Period
• Issue an Ontop Card (if not already issued)
• Complete a First Eligible Transaction within the Activation Window
• Comply with Ontop’s General Terms and Conditions
• Activate the Annual Reserve Plan through an Eligible Subscription (paid immediately at the time of subscription)

❗ Users who:

• Activate Reserve through a free trial,
• Have delayed billing, or
• Access Reserve through any promotional or non-paid mechanism
• Who choose monthly subscription

are not eligible for this Campaign.

Participation is invite-based and limited to users selected by Ontop.

3. CAMPAIGN  MECHANICS:

3.1 Annual Subscription Requirement

• Users must successfully activate an Annual Reserve Plan subscription during the Campaign Period.
• The Activation Window begins immediately upon successful subscription.

3.2 First Purchase Requirement

• To qualify for the Campaign Cashback, users must:
  • Use their Ontop Card
  • Complete one (1) First Eligible Transaction within the Activation Window
• Only the first transaction will be considered.

3.3 Campaign Cashback (60%)

• Ontop will grant 60% cashback on the First Eligible Transaction, capped at $60 USD.

Examples:

• Spend $100 → receive $60
• Spend $50 → receive $30
• Spend $120 → receive $60 (cap applied)
• The Campaign Cashback will be credited after validation, following the Campaign Period.

3.4 Interaction with Reserve Benefits

• The Campaign Cashback is separate from standard Reserve benefits.
• Standard Reserve cashback (e.g., 5%) will continue to apply as per normal conditions.
• The Campaign Cashback:
  • Applies only to the First Eligible Transaction
  • Does not modify or permanently increase Reserve benefits

4. CASHBACK CALCULATION AND CREDITING:

• Cashback is calculated based on the settled amount of the First Eligible Transaction only.
• Only successfully completed and validated transactions qualify.
• The Campaign Cashback will be:
  • Credited to the Participant’s Ontop Wallet
  • Processed after validation and following the Campaign Period
  • Subject to Ontop’s standard processing timelines
• If no First Eligible Transaction is completed within the Activation Window:
  • The Participant will not receive Campaign Cashback

5. RESTRICTIONS:

• Only the first eligible transaction qualifies.
• Reversed, refunded, disputed, or canceled transactions are excluded.
• Only card-based purchase transactions qualify:
  • Transfers, peer-to-peer payments, withdrawals, or cash-like transactions are excluded
• Abuse, gaming, or artificial transactions (including self-payments or circular transactions) are strictly prohibited.

Ontop reserves the right to:

• Revoke cashback rewards
• Disqualify Participants in cases of suspected fraud or misuse

6. MODIFICATION AND TERMINATION:

Ontop reserves the right to:

• Modify, suspend, or terminate the Campaign at any time
• Adjust eligibility, validation, or reward calculation criteria

Any changes will not affect rewards already earned in compliance with these Terms.

7. PERSONAL DATA:

Participation in this Campaign implies consent for Ontop to process personal data strictly for Campaign administration purposes, in accordance with Ontop’s Privacy Policy.

8. ACCEPTANCE OF TERMS:

Participation in this Campaign constitutes full acceptance of these Terms and Ontop’s General Terms and Conditions.

9. ‍GENERAL CONDITIONS OF CAMPAIGN:

9.1 Validity.

The Campaign is valid only during the Campaign Period. The Activation Window may extend beyond the Campaign Period for users who subscribed before the end date.

9.2 Fraudulent Activity.

Ontop reserves the right to cancel, suspend, or block participation in cases of fraud or abuse.

9.3 Eligibility Adjustments.

Ontop may modify eligibility conditions at its sole discretion.

9.4 Limitation of Liability.

Ontop is not responsible for technical issues or failed transactions.

9.5 Governing Documents.

Please refer to Ontop’s General Terms, Privacy Policy, and Ontop Card Terms of Service.

9.6 Governing Law.

These Terms are governed by the laws of the State of Delaware.

9.7 Tax Responsibility.

Participants are responsible for any applicable taxes.
