Ontop Worker Referral Program - General Terms and Conditions

Last updated: May 7, 2024

These General Terms and Conditions (these “Terms” or “T&Cs”) are applicable to all persons or companies who adhere to our B2C Referral Program (the “Program”) provided by Ontop Holdings Inc., a US corporation organized under the laws of the State of Delaware (“Ontop”, “us”, and “we”).

This Program may be subject to additional guidelines, terms, or rules, which will be posted on our website or included in the relevant communication with the details of the specific offer. All such additional terms, guidelines, and/or rules are incorporated by reference into these Terms.

You will be informed if these Terms are updated pursuant to Section 7.1 - Changes...

1. Program Overview 🪂

The Ontop Platform empowers businesses to contract, onboard, make payments to and/or manage its relationships with local and international independent contractors. This Program aims to allow individuals to refer Ontop Services and its Platform to potential customers, in exchange for commissions once the referral becomes a paying Client and gets Workers onboarded.

2. Who or What is That? 🙋

🏢 “Client” means any individual or legal entity that engages Ontop to contract, onboard, make payments to and/or manage its relationships with Workers.

👷 “Worker” is an individual that performs services for Clients.

💻 “Ontop Platform” or the “Platform” means the proprietary software as a service (SaaS) platform available via login through the Ontop Website and through mobile apps available on Apple iOS and Android, among others.

🛎️ “Ontop Services” or the “Services” are the payroll management services available to Clients and Workers on the Ontop Platform, including but not limited to contracting, onboarding, making payments to and/or managing relationships with Workers.

👉 “Participant(s)” or “you” are individuals who participate in the Client Referral Program in order to refer Ontop Services and its Platform to potential customers, in exchange for commissions once the referral becomes a paying Client.

🌐 “Ontop Website” or the “Website” means the website located at www.getontop.com.

3. Participating in the Program 🎟️

3.1 You can apply to participate in this Program by filling out a form available at https://www.getontop.com/request-a-free-demo/referral-program-workers and refer potential Clients to Ontop through it.

3.2 We may offer potential Clients discounts for Ontop Services, which will be made at our sole discretion. If expressly stipulated in the offer via email or landing page to the Participant, we may offer a precise percentage of discount, subject to the conditions of the offer and these Terms.

3.3 We reserve the right to assess the referrals that Participants make to us, and we have the sole discretion to accept or decline any given referral, for any reason. The existence of a referral made by a Participant does not guarantee that we will pursue such referral as a Client.

4. Commissions for Client Referrals 🫰

4.1 In exchange for the successful referral of Clients to Ontop as paying Clients and the effective onboarding of Workers, we may make certain payments to Participants in the form of a once-off payment of cash or cash-equivalents (“Commission(s)”). The respective amounts in cash or cash-equivalents for the Commissions will be stated in the specific offer made to the Participant by us. For the avoidance of doubt, you will be entitled to the Commission once a Client has created an Ontop Account, onboarded at least one (1) Contractor and made the first payment to said Contractor.

4.2  In order to be eligible for Commissions, Client referrals must be new Clients and cannot be former Clients or potential Clients that have participated in Ontop demos in the past.

4.3 Commissions will be paid to Participants within thirty (30) calendar days of the confirmation that the referred client has been effectively onboarded on the Ontop Platform and once the Participant's eligibility to receive the Commission is verified. Payment will be made through a credit to your Ontop Wallet balance (if the Participant has an Ontop Account) or via other cash equivalents (such as gift cards, among others). For the purpose of these terms a client is considered fully 'onboarded' when their KYB/KYC process is approved, and they have successfully onboarded at least one Worker and an Ontop account manager is assigned to them.

4.4 We reserve the right to modify the terms and conditions of this Program at any time and for any reason.
