Beta Program Begins: February 1, 2025, 12:00 am (GMT-5)

Beta Program Ends: September 30, 2025 11:59 pm (GMT-5)

These terms and conditions (these “Terms”) regulate the Welcome to Ontop (this “Program” or “Beta Program”), a loyalty rewards initiative offered by Ontop Holdings Inc., a Delaware corporation (“Ontop,” “we,” or “us”). By participating in the Program, you agree to be bound by these Terms.

1. DEFINITIONS:

1.1 “Beta Program Period” means the time frame starting on February 1**, 2025, 12:00 am (GMT-5)** and ending on April 1**, 2025 11:59 pm (GMT-5)**, during which the Ontop Onboarding Challenge will be in its beta phase. Ontop reserves the right to adjust the Beta Program Period at its sole discretion.

‍1.2 “Ontop Onboarding Challenge” or “Program” refers to the gamified onboarding rewards model through which Workers can complete specific tasks to earn cashback (the “Cashback Rewards”).

1.3 “Participant(s)” or “you” means any individual who participates in the Program by completing the required actions to become eligible for rewards.

1.4 “Third-Party Account” refers to any bank account registered with, and managed by, an individual or entity other than the Participant.

Any capitalized terms not defined herein will have the meanings ascribed to them in the Worker General Terms and Conditions and the Ontop Worker Wallet Terms of Service.

2. PROGRAM RULES:

2.1 Eligibility: To qualify as a Participant in the Beta Program, you must:

• Receive an invitation or communication from Ontop with an offer to participate in the Program, and accept the challenge by clicking the “Accept the Challenge” button in the first email you receive; and
• Have an active contract on the Ontop Platform.

2.2 Rewards Structure: Participants who fulfill the actions outlined in Section 2.3 below will be eligible to receive:

• $5 (USD) Cashback Reward credited to their Ontop Card, provided they complete the required steps within the Beta Program Period.

2.3 Required Actions: To earn the $5 Cashback Reward, you must complete all of the following steps during the Beta Program Period:

• Accept the Challenge received via email;
• Make your first your first third-party transfer from your Ontop Wallet; and

2.5 Reward Crediting:

• All Cashback Rewards and bonuses will be credited to the Participant’s Ontop Card within thirty (30) days after the end of the Beta Program Period.
• Rewards are personal and non-transferable.
• Depending on your country of tax residence, Cashback Rewards may be considered taxable income. You are solely responsible for any applicable taxes, fees, or charges.

3. GENERAL CONDITIONS OF THE PROGRAM:

3.1 Beta Program Validity. The Beta Program will remain active throughout the Beta Program Period. Ontop reserves the right to adjust the Program timeline and scope at its sole discretion.

3.2 Fraudulent Activity: Ontop reserves the right to:

• Cancel, suspend, or modify the Beta Program if fraud, abuse, or any unlawful activity is detected.
• Block a Participant’s account at any time if they are found to be engaging in fraudulent or unlawful conduct.

‍3.3 Modification or Discontinuation. Ontop reserves the right to modify the eligibility conditions, revise these Terms, or discontinue the Program at any time and at its sole discretion. Any such changes will be communicated in accordance with Section 3.8 below.

‍3.4 Limitation of Liability. By participating in the Program, you agree to release Ontop, its affiliates, and representatives from any claims or liability arising from or in connection with your participation. Ontop is not responsible for any technical issues, system failures, or other problems that may result in lost, incomplete, or otherwise unrecorded transactions.

‍3.5  Governing Documents. These Terms supplement the Worker General Terms and Conditions, the Ontop Worker Wallet Terms of Service, and the Privacy Policy (collectively, the “Ontop Platform Terms”). In the event of any conflict, these Terms will govern matters specifically related to the Ontop Onboarding Challenge.

‍3.6 Governing Law and Dispute Resolution. These Terms will be governed by and construed in accordance with the laws of the State of Delaware. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably will be settled by binding arbitration on an individual basis.

‍3.7 Data Privacy. By participating in the Beta Program, you acknowledge and agree that Ontop may collect, store, and use any personal information you provide in accordance with our Privacy Policy.

‍3.8 Changes to the Program. Ontop reserves the right to modify these Terms at any time and for any reason. If material changes are made, Ontop will notify Participants by email or by prominently posting a notice of the change on its website. Your continued participation in the Program following the effective date of any changes constitutes your acceptance of such changes.

‍By participating in the Ontop Onboarding Challenge, you acknowledge that you have read, understood, and agree to be bound by these Terms.
