"12 Days for Christmas - Terms and Conditions"

During the Campaign Period, Ontop users may unlock daily gifts by making qualifying purchases with their Ontop Card in specific categories assigned to each calendar day. Upon completing five (5) valid days, Participants will unlock a final surprise reward to be revealed on December 24, 2025.

1. DEFINITIONS:

1.1 “Campaign Period” means the period from Monday, December 8th, 2025, 12:00 am (GMT-5) through Tuesday, December 23rd, 2025, 11:59 pm (GMT-5), inclusive.

1.2 “Ontop Card” refers to the prepaid card (physical or digital) that users can obtain through the Ontop Platform and top up using their Ontop Global Wallet balance.

1.3 “Ontop Worker Wallet” or “Worker Wallet” means the e-wallet account accessible to Contractors registered on the Ontop Platform reflecting their available balance.

1.4 "Reserve Plan” is a paid subscription plan offered by Ontop that provides enhanced benefits, including higher cashback, reduced fees on transfers, travel assistance, exclusive campaigns, and special perks.

‍1.5 “Valid Purchase” means any purchase completed using the Ontop Card that matches the daily category assigned for that specific date, as described in Annex A.

1.6 “Gift” means the progress unit equivalent to one Valid Purchase on the assigned day.

1.7 “Final Reward” means the end-of-campaign benefit that will be revealed and granted to eligible Participants who successfully complete five (5) valid days, as defined in Section 2.

1.8 “Participant(s)” means any Ontop Card holder who meets the eligibility criteria described in Section 2.1.

2. CAMPAIGN  RULES:

2.1 Eligibility

To qualify for this Campaign, you must:

• Be an active Ontop Card holder at the time of each Valid Purchase.
• Have received official communication from Ontop regarding the Campaign (via email or push notification).
• Comply with Ontop’s general terms and conditions (“Ontop Platform Terms”).

2.2 Advent Calendar Mechanism

During the Campaign Period:

• Each calendar day is assigned a specific purchase category.
• A purchase will only count as a Valid Purchase if it matches the category assigned to that day.
• Upon unlocking five (5) different Gifts on five (5) different valid days, the Participant becomes eligible to receive the Final Reward, which will be revealed on December 24, 2025.

2.3 Cashback Conditions and Limits

• The nature, value, and format of the Final Reward will be defined by Ontop after evaluation of total participation.
• Participants who complete ten (10) distinct valid days may receive an additional reward.
• Ontop reserves the right to verify transaction eligibility and conduct manual reviews if necessary.

2.4 Reward Crediting

• The reward may consist of cashback, a fixed monetary amount, platform discounts, or other promotional benefits, at Ontop’s sole discretion.
• Reward  will be delivered within seven (7) business days following December 24th, 2025.
• The Final Reward is non-transferable, non-withdrawable, and may not be exchanged for cash, unless explicitly stated by Ontop.

2.5 Restrictions

• Only purchases executed between December 8 and December 23, 2025, inclusive, will be considered.
• Purchases must match the exact Daily Category and date.
• The Final Reward is granted only upon completion of five (5) valid days.
• No partial completion grants any benefit.
• The Campaign cannot be combined with other promotions unless explicitly stated.
• Ontop reserves the right to cancel the Final Reward in case of abuse, manipulation, chargebacks, or misuse.

2.6 Personal Data

By participating in this Campaign, Participants authorize Ontop to process their personal data for the sole purpose of administering this Campaign, in accordance with Ontop’s Privacy Policy.

2.7 Modification, Suspension, and Termination

Ontop reserves the right to:

• Modify the Daily Categories schedule.
• Change the nature or value of the Final Reward.
• Suspend or terminate the Campaign at any time.

2.8 Acceptance of Terms

Participation in this Campaign implies full acceptance of these Terms and Conditions, as well as Ontop’s General Terms and Conditions.

• Thursday, December 11: Restaurants

Week 2

• Monday, December 15: Books / Kindle
• Tuesday, December 16: Beauty / Wellness
• Wednesday, December 17: Streaming / Apps
• Thursday, December 18: Delivery
• Friday, December 19: Movies / Theater / Concerts

Week 3

• Monday, December 22: Reserve Subscription - If the user is already subscribed to Reserve Plan at the time of this date, they will automatically receive one (1) completed day credited toward the Campaign
• Tuesday, December 23: Last-Minute Gifts – Open Category

4. GENERAL CONDITIONS OF CAMPAIGN:

4.1 Validity: The Campaign will be valid only during the designated one-hour window communicated via push notifications and email.

‍

4.2 Fraudulent Activity. Ontop reserves the right to (a) cancel, suspend, and/or modify the Campaign and (b) to block a Participant’s account at any time if it is determined that fraud or unlawful action is taking place in order to gain additional cashback.

4.3. Elegibility. Ontop reserves the right to modify the conditions of eligibility for this Campaign and/or to cancel the Campaign, at any time and at its sole discretion.

‍

4.4 Modification and Termination. Ontop reserves the right, at its sole discretion, to modify, change, or update these Terms at any time. Modifications will be communicated by Ontop and will take effect immediately from the time of publication.

4.5 Limitation of Liability. By participating in the Campaign, you agree to release Ontop, its affiliates, and representatives from any claims or liability arising from your participation. Ontop is not responsible for any technical issues, system failures, or other problems that may result in lost or incomplete transactions.

4.6 Governing Documents. Please refer to our Client General Terms and Conditions and Worker General Terms and Conditions and Privacy Policy, as well as the Ontop Card Terms of Service (collectively the “Ontop Platform Terms”), which govern any matters not explicitly covered by these Terms. Any capitalized terms not defined in these Terms will have the meaning ascribed to them within the Ontop Platform Terms.

4.7 Governing Law and Dispute Resolution. These Terms are governed by the laws of the State of Delaware. Any disputes arising from these Terms will be resolved through binding arbitration on an individual basis, as outlined in the Ontop Card Terms of Service.

4.8 Tax Implications. Participants are solely responsible for any federal, state, and local taxes and any other fees, charges, or expenses associated with the cashback rewards.

4.9 Data Privacy. By participating in the Campaign, you consent to the collection and use of your personal information as described in our Privacy Policy.
