We’re here to ensure your subscription experience is clear, simple, and transparent, allowing you to focus on what matters most.
1. Overview
These Auto-Charge Seat Management Terms of Service (“Auto-Charge Terms”) establish the legally binding terms governing the auto-renewal and automatic charging policies of Ontop Seats associated with the Ontop Platform (“Auto-Charge Fees”). The Auto-Charge Terms operate in conjunction with the Client General Terms and Conditions (“Client T&Cs”). By subscribing to any recurring services provided by Ontop, you agree to be bound by these Auto-Charge Terms.
Any capitalized terms that are not defined by these Terms will have the meanings ascribed to them in the “Client T&Cs.”
⚖️ PLEASE READ THESE TERMS CAREFULLY BEFORE SUBSCRIBING TO OR USING ONTOP SEATS. These Terms are non-negotiable and set the rules for managing automatic renewals and charges for Ontop Seats.
2. Auto-Charge and Billing Cycle
Ontop memberships of Global Seats and/or Flex Seats to use the Platform (“Ontop Seats” or simply “Seats”) automatically renew unless canceled at least 24 hours before the renewal date. Each "Seat" represents a user's license or subscription to access and use the platform, typically associated with specific features or capabilities as per the subscription level. The number of Ontop Seats billed in each Billing Cycle (defined below) varies depending on the type of Seat. For Global Seats, billing is based on the number of seats committed at the beginning of each month for that Billing Cycle. For Flex Seats, billing is based on the actual number of Seats used during the current month, and you will be charged accordingly after this usage. The “Billing Cycle” refers to the period ending on the Cutoff Date stated in your Platform for invoice issuance. Ontop processes the applicable charges for Global Seats up to 24 hours before the start of the next Billing Cycle and for Flex Seats up to 24 hours after the end of the current Billing Cycle, using the payment method registered on your Client Account.
3. Payment Authorization
By accepting the Auto-Charge Terms, you expressly authorize Ontop to automatically charge Auto-Charge Fees for Ontop Seats in each recurring Billing Cycle using the payment method you have provided. You agree that Ontop may continue to charge such fees unless and until you cancel your subscription in accordance with our cancellation policy. If your payment method fails (e.g., due to an expired card, insufficient funds, or incorrect details), you remain responsible for any uncollected amounts.
If you cancel your subscription or change your payment method and there is still an outstanding balance for Ontop Seats already used, you expressly authorize Ontop to automatically charge any remaining amounts to the previous payment method used or outstanding balance for the Auto-Charge Fees of Ontop Seats or any other payment method associated with your account within the Platform, including those not originally designated for Auto-Charge Fees. If that method fails or is unavailable, Ontop may continue to charge any other payment method associated with your account.
4. Changes to Subscription Amount
The number of Ontop Seats charged in each billing cycle may vary depending on the number of active Seats during that period. Ontop will adjust the billing accordingly, and the amount billed may change from month to month based on your usage.
5. Payment Responsibility
Users are responsible for ensuring their payment methods are up-to-date and have sufficient funds to cover the charges. Ontop reserves the right to cancel your Ontop Seats if payment cannot be successfully processed. Notwithstanding the above, you expressly authorize Ontop to recover any remaining or pending balance following the procedure outlined in Section 3 of these Auto-Charge Terms. It is your responsibility to update or rectify your payment information to resolve any issues that might impede successful billing.
6. Cancellation Policy
You may cancel yourAuto-Charge Fees at any time through your account settings. Cancellations must be made at least 24 hours before the renewal date to avoid being charged for the next Seat period. If your Ontop Seats are canceled or not renewed, you will lose access to any functionality or services tied to those Ontop Seats, including but not limited to access to the Platform, onboarding, and/or payment of Workers.
7. Notifications of Price Changes
Ontop will notify you in advance of any price increases for Ontop Seats. We may, at its sole discretion, modify the Ontop Fees and/or the subscription period at any time. You may choose to cancel your subscription if you do not agree to the price increase, subject to the 24-hour cancellation policy outlined above. Continuing your subscription after receiving notice of such changes will constitute your implicit acknowledgment and acceptance of the new pricing, subscription terms, and revised Auto-Charge Terms.
8. Management of Ontop Seats Subscriptions
As set forth in Section 6 of the Client T&Cs, you can manage or cancel their Ontop Seats subscriptions at any time through their account settings on the Platform. It is your responsibility to ensure that your subscription preferences are accurately set to reflect your intended usage and billing.
9. Payment Methods and Responsibility for Updating Information
Ontop processes payments through a variety of methods, including but not limited to credit cards, Automated Clearing House (ACH), and Ontop Balance. It is the user’s responsibility to ensure that accurate and updated payment information is provided at all times. Failure to maintain valid payment information may result in service disruptions, uncollected fees, or cancellation of Ontop Seats.
10. Right to Cancel Ontop Seats
As set forth in Section 5 of these Auto-Charge Terms, Ontop reserves the right to cancel your Ontop Seats if payment cannot be successfully processed. In such cases, users will lose access to any functionality or services tied to those Seats. Ontop also reserves the right to recover any remaining or pending balance from the previous payment method on file or through other lawful means.
11. Liability for Uncollected Amounts
You remain liable for any outstanding amounts due to Ontop for Ontop Seats, even after the subscription is canceled or if your payment method fails. Ontop reserves the right to pursue the collection of such amounts through any lawful means.
12. Amendments to the Auto-Charge Terms
Ontop reserves the right to amend these Auto-Charge Terms at any time. Any substantial changes will be communicated to users via email or through a prominent notice on the Platform. Continued use of the Platform and Ontop Seats subscriptions following such changes will constitute your acceptance of the revised Auto-Charge Terms. Otherwise, any update of these Auto-Charge Terms will become effective on the date of its publication unless you delete or discontinue the use of your Auto-Charge Terms before then. Nevertheless, any pending or remaining charges may still be deducted from your current or last payment method included in the Platform.
13. Conflict
In the event of a conflict between these Auto-Charge Terms and the Client T&Cs and/or any agreement between you and Ontop and/or Ontop Group, these Auto-Charge Terms shall prevail and be binding.
