These Ontop Reserve Terms of Service (“Ontop Reserve Terms” or “Terms”) form the basis of the legally binding contract between you and us.

THESE TERMS REQUIRE THE USE OF ARBITRATION (SECTION 8 - GOVERNING LAW AND DISPUTE RESOLUTION) ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND ALSO LIMIT THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.

This exclusive subscription is more than just benefits. It’s a power-up. With Ontop Reserve, you get premium cashback on your purchases, preferred payout fees, access to exclusive deals and offers, and a curated selection of benefits that reward you for how you already use Ontop.

Any terms not covered by these Ontop Reserve Terms will be subject to the Remote Worker Terms and Conditions (“Remote Workers T&Cs”) or the Ontop Global Account Terms and Conditions (“ Ontop Global Account T&Cs”), as applicable. Any capitalized terms used that are not defined in these Terms will have the meaning ascribed to them in the Remote Worker T&Cs or in the Ontop Global Account T&Cs as applicable.
Where applicable, Ontop Reserve is subject to the terms of the Payroll Account Terms of Service, especially with respect to the payment of Subscription Fees.
Subscribers are subject to the Ontop Card (Visa) Terms of Service in addition to these Terms, as applicable.
The offer to subscribe to Ontop Reserve is subject to Ontop's Solicitation and Promotion Rule Disclaimer, which is incorporated herein by reference and available at: Solicitation and Promotion Rule Disclaimer.
💵 “Benefit” refers to the benefits, discounts (including any fee discounts on standard payout fees), Cashback, and/or access to services or products set forth in Section 4 of these Terms to which the Subscribers will have access as a result of subscribing to Ontop Reserve through these Terms.
💸 "Cashback Benefits" or "Cashbacks" refer to rewards credited to a Subscriber’s Ontop Global Account balance, either to the Payroll Account in USD or the Personal Account in USDC, as applicable, based on the currency of the Subscriber’s active Ontop Global Account balance used to the qualifying card transaction (see Section 4.5), derived from eligible purchases made through the Ontop Card (regardless of whether the card is funded in USD or USDC) or transactions benefiting from Preferred Payout Fee discounts, in accordance with Ontop Reserve Plan.
👑 "Entertainment" refers collectively to the following sub categories (i) Streaming Platforms, which includes only Netflix, Prime, HBO Max, Disney Plus, Youtube Plus, Apple TV, Paramount+, and/or Spotify; (ii) Gaming, which includes Playstation and/or Nintendo; (iii) Reading, which includes Audible and/or Kindle; (iv) Tourism, which includes Civitatis and/or GetYourGuide; and/or (v) Movies, which includes cinemas, movie theaters.
💳 “Ontop Global Account” is a unified technological interface through which Users may access and manage independent balance containers ("Accounts"), each governed by its own specific terms, operated by distinct regulated service providers, and subject to separate eligibility requirements, while being presented within a single consolidated view on the Ontop Platform.
🧾 “Ontop Account” or the “Account” is the user account that You can create on the Ontop Platform and use for the purposes of engaging Ontop services.
💳 “Ontop Card (Visa)” or “Card” is a digital prepaid card that Users can acquire through the Ontop Platform and use with the funds they have available in the Payroll Account or in the Personal Account, as applicable.
💻 “Ontop Platform” or the “Platform” refers to the software-as-a-service or “SaaS” platform available at www.getontop.com, as well as on mobile apps available for iOS and Android.
🛎️ “Ontop Services” are all the services Ontop offers through the Platform, including the use of the Ontop Card (Visa), Ontop Global Account, and related features.
👑💸 “Ontop Reserve,” or the “Ontop Reserve Plan” refers to the premium Subscription Plan and its associated features and Benefits available under these Terms.
👉👷♀️ “Subscribers,” “you,” “your” refer to users (the “Users”) using Ontop’s global remote work platform to connect with companies you provide services to, or Ontop's clients (the “Clients” 🏢), and who have subscribed to the Ontop Reserve Plan.
💰 "Subscription Fee(s)" refers to the recurring fee that the Subscriber pays to access the Ontop Reserve Plan and its Benefits, set in US Dollars (USD) or its equivalent in USDC for the Personal Account, in the amounts and under the payment model described in Section 4 of these Terms.
✒️📦 “Subscription Plan” refers to any subscription-based model where Subscribers pay a recurring fee to access Benefits linked to their Ontop Card and/or Global Account spending.
3.1.1 To be eligible to subscribe to the Ontop Reserve Plan, you must have a valid Ontop Account on the Ontop Platform. Additional eligibility criteria may apply as determined by Ontop and communicated through the sign-up process.
3.1.2 If you have an Ontop Account on the Ontop Platform, you may be eligible to join Ontop Reserve, Ontop’s most exclusive subscription plan, designed for our most active users.
3.1.3 Subscription to the Ontop Reserve Plan requires completion of the official Ontop-approved sign-up process through Ontop's platform. Ontop reserves the right to modify the sign-up process at any time 💻📝
3.1.4 All Subscription Fees for Ontop Reserve are set in US Dollars or USDC (“Subscription Fee(s)” or simply “Fee(s)”).
4. Ontop Reserve Subscription Plan
- Pricing
- Annual Commitment (Important)
Ontop Reserve is offered exclusively as an annual subscription, regardless of payment method.
Monthly payments represent installments of an annual commitment, not a month-to-month subscription.
- Ontop Credits
Ontop Credits are discretionary lifestyle reimbursement benefits available exclusively to active Ontop Reserve Subscribers as described in section 4.9 of this Terms.
- Cashback Program:
Up to 10% cashback depending on category:
• 10% on Flights, Airbnb, Booking.com, and Transportation.*
• 5% on Food Delivery, Fashion and Entertainment.*
- Cashback Cap: $200 per month.**
- Cashback Payment: Cashback is issued automatically or manually as described in section 4.5 of these Terms. Subscribers whose Card is funded in USDC through the Personal Account receive Cashback credited in USDC (stablecoin). See Section 4.5.
- Preferred Payout Fees: 50% off on standard payout fees on personal and third-party transfers from your Payroll Account.
- Preferential Rate for Local Currency Transfers: In addition to the Preferred Payout Fees outlined above, Subscribers will be eligible for a preferential rate on local currency transfers. This Preferential Rate applies solely to the foreign exchange (FX) fees associated with bank transfers in local currency initiated from the Subscriber’s Ontop Global Account to a local currency bank account.
- Lending Access: Currently unavailable. Access funds when you need them, if available, applicable, and approved by the third-party *** fast and easy.
- Insurance Benefits: Currently unavailable. Extra peace of mind while you work and travel, if available, applicable, and approved by the third-party lending service***. Insurance benefits may be subject to their own terms and conditions.
- Campaign Access: Enjoy special promos and cashback deals tailored just for card users. Special promos and Cashback deals may be subject to their own terms and conditions.
- Exclusive Deals & Partnerships: Access to partner benefits in flights, learning, coworking, and wellness. Partner benefits may be subject to their own terms and conditions.
- Investment Access via Partners: Currently unavailable. If available, applicable, and approved by the third-party. This benefit to curated third-party investment platforms****
- Emergency Cash Assistance for Lost Luggage:
a. International Flights: $250
b. Domestic Flights: $150
- VIP Lounge Entry Refund: 100% Cashback of eligible lounge entry fees.
- Physical Ontop Card (Visa): Included (for users in eligible countries).
⚠️ Important:
- Cashback is limited to specific categories and eligible merchants.
- Eligibility for Cashback is determined by the merchant's participation in Ontop's Cashback program and the Merchant Category Code or “MCC” assigned to the merchant by the card network.
-Ontop reserves the right to modify cashback categories, percentages, limits, and eligible merchants at any time, with or without prior notice.
** The maximum Cashback a Subscriber can receive under the Ontop Reserve Plan is $200 USD per calendar month, regardless of spending volume or category. Cashback earned beyond this limit will not be credited.
*** Ontop is not part of the partnership with the companies that provide the lending service or insurance services. Specific terms and conditions between the User and such companies may apply. Ontop is not part of such a contractual relationship.
**** Ontop does not provide investment advice, investment services, or brokerage services. Any investment products or services offered are solely by the respective third-party provider. Specific terms and conditions between the User and such company may apply. Ontop is not part of such a contractual relationship. Users will be redirected to the provider's website for more information and access.
- Ontop may modify the frequency of Cashback payments upon notice to the Subscriber.
- Ontop reserves the right to modify or discontinue deals and partnerships at any time, with or without prior notice.
Any User may participate in Ontop Reserve. Subscribing to Ontop Reserve is not required to access or use the Card. During this early-access phase, subscribing to Ontop Reserve requires completing the official sign-up form. Once submitted, Ontop will attempt to deduct the corresponding Subscription Fee from your respective Payroll Account or Personal Account balance within 24 business hours.
If the payment is successfully deducted, your Ontop Reserve Benefits will begin on the next calendar day. If the applicable Account of the Ontop Global Account does not have sufficient funds within that timeframe, your subscription will not be activated, and you will need to start the subscription process again once you have funds in your applicable Account of the Ontop Global Account.
Regardless of payment method, by subscribing, you commit to a full one-year subscription. Monthly payments are installment-based and not equivalent to a monthly subscription.

This model ensures access to all Ontop Reserve Benefits for the entire year and allows flexibility in how you pay.
The Ontop Reserve Plan is offered exclusively as an annual subscription. You may choose to pay the annual fee in one of two ways:
- Monthly: at $14.90 USD, or the equivalent in USDC for the Personal Account, per billing cycle (”Monthly Billing Cycle”) billed monthly over twelve (12) consecutive months; or
- Annually: at $145.00 USD, or the equivalent in USDC for the Personal Account (“Yearly Billing Cycle” and together and collectively with Monthly Billing Cycle, the "Billing Cycle") billed once per year.
4.4.1 By selecting the yearly option, you acknowledge and agree to Ontop’s refund policy as set forth in Section 4.13 below.
All Benefits (including any manual Cashback and the 50% discount on standard payout fees) awarded under the Ontop Reserve Plan will be distributed to Subscriber's applicable Account in their Ontop Global Account once per month during the first week of the following calendar month (“Distribution Cycle”), or at such other times or methods as Ontop may determine at its sole discretion. For example, Benefits earned through Ontop Reserve in March will be distributed during the first week of April. Only one distribution will be made per Distribution Cycle. No incremental or partial distributions will occur during the month. Ontop may, at its sole discretion, modify the frequency of distribution in the future, but makes no guarantees in this regard. Where a Subscriber’s Ontop Card (Visa) is funded from a USDC balance at the time of a qualifying transaction, the corresponding Cashback will be credited in USDC to the Subscriber’s Personal Account balance. Cashback from USD-funded transactions will be credited in USD. See Section 4.5 for the complete USDC Cashback mechanism.
Depending on the availability of the services on our Platform, Subscribers will have access to automatic or manual Cashbacks. In the absence of automatic Cashback, the provisions relating to manual Cashback will apply.
4.5.1 Automatic Cashback. Some transactions may generate automatic Cashback reflected shortly after purchase.
The Platform may, at Ontop's sole and absolute discretion, offer automatic Cashback that will be applied to a Subscriber’s Ontop Card or applicable Account in their Ontop Global Account balance upon completion of a qualifying transaction with selected vendors included in these Terms. In the event of technical, operational, vendor, or any other error related in the application of the automatic Cashback feature, we reserve the right to deduct from or add to the Subscribers' Ontop Global Account balance in order to perform the necessary corrections.
4.5.2 Manual Cashback. Certain cashback transactions require manual validation and are credited on scheduled adjustment dates (15th and 30th of each month). Adjustment dates are fixed and independent of subscription start or cancellation date.
Subscribers may request manual cashback adjustments solely for eligible transactions made within the Monthly Billing Cycles corresponding to the thirty (30) days immediately preceding the date of the request. Ontop shall have no obligation to review, process, or grant any manual cashback adjustment requests related to transactions falling outside of such period.
4.5.4 Adjustments and Consent. By using the Platform, you expressly authorize Ontop to make such adjustments without prior notification. Ontop shall not be liable for any failure to apply Cashback or for any delays or inaccuracies resulting from vendor behavior, system issues, or other factors beyond Ontop’s reasonable control.
Subscribers will receive Cashback corresponding to the specific category of each purchase, according to the Ontop Reserve Plan’s fixed Cashback rates:
- Flights: 10%
- Airbnb and/or Booking.com: 10%
- Ride Sharing apps: 10%
- Food: 5%
- Delivery: 5%
- Fashion: 5%
- Entertainment: 5%
If a purchase qualifies under more than one category, only the highest applicable Cashback rate will apply. Cashback Benefits cannot be combined or stacked. For example, if a purchase qualifies as both “Food” and “Entertainment,” the Cashback Benefit applied will be the one with the higher percentage, but not both. This Section shall also apply to Campaign Access.
Maximum Cashback under Ontop Reserve is USD $200 per calendar month. Amounts exceeding this cap are not credited.
Cashback Benefits are generally considered non-taxable as they are treated as rebates. However, Ontop does not provide tax advice. You should consult your own tax advisor to determine whether Cashback Benefits are considered reportable income under your local laws.
As a Benefit of subscribing to Ontop Reserve, Subscribers will have access to Emergency Cash Assistance in the event of lost luggage during domestic or international flights. This assistance provides temporary financial support to help cover essential expenses due to the inconvenience of lost baggage.
To be eligible for Emergency Cash Assistance, the Subscriber must:
1. Purchase the air ticket using their Ontop Card while actively subscribed to Ontop Reserve.
2. Board the respective flight (no-shows are not eligible).
3. File a formal lost luggage complaint with the airline carrier.
4. Ensure the destination of the flight is in a different city from the Subscriber’s city of residence.
Subscribers may initiate a claim by filling out the official form provided by Ontop (“Claim”). Claims must be submitted within 48 hours of the flight’s arrival. If the claim is approved, the Emergency Cash Assistance will be credited to the Subscriber’s Ontop Card balance within one (1) business day.
Active subscription to Ontop Reserve must be maintained throughout the entire Claim process.
Emergency Cash Assistance is a Benefit designed to provide temporary support and is not a transfer or shift of the risk of loss or liability from Subscribers to Ontop. Emergency Cash Assistance's purpose is to help Subscribers address immediate, essential expenses (e.g., clothing, toiletries, prescription medications) resulting from the inconvenience of lost luggage.
Emergency Cash Assistance is not intended to replace insurance coverage or compensate for the full value of lost items. It provides limited support and is not an indemnification or replacement for insurance claims.
Ontop reserves the right to approve or deny Claims at its sole discretion, based on the documentation provided by Subscribers in their Claim and internal policies. Approval is also subject to applicable laws and compliance requirements.
Emergency Cash Assistance applies to both Domestic and International Flights:
- Domestic Flight is a flight that departs and arrives within the Subscriber’s country of residence.
🧳 Assistance Amount: $150 USD
- International Flight means a flight between different countries, or a flight within a country other than the Subscriber’s country of residence.
🌍 Assistance Amount: $250 USD
The amounts listed above in Section 4.7.4 are intended solely as temporary support to alleviate inconvenience and help Subscribers manage immediate needs. They are not reflective of the actual value of lost luggage or contents.
In no circumstance shall Emergency Cash Assistance be used to cover the actual value of the contents of the lost luggage, as set forth in Section 4.7.1 and 4.7.2 of these Terms. Emergency Cash Assistance is not available:
- For losses due to Subscriber negligence or violation of airline policies.
- If the Subscriber fails to follow the eligibility criteria listed above.
- If the Subscriber is not actively enrolled in Ontop Reserve at the time of the claim or during claim resolution.
4.8 VIP Lounge Entry Refund
Subject to the terms and conditions set forth herein, Subscribers enrolled in the Ontop Reserve Plan may be eligible for a refund-based benefit in connection with airport lounge entry fees (the “VIP Lounge Entry Refund”). This Benefit does not constitute automatic Cashback and is subject to validation and processing by Ontop.
To be eligible for the VIP Lounge Entry Refund:
(a) the applicable lounge entry fee must be paid using the Card;
(b) the Subscriber must provide valid proof of payment in the form required by Ontop; and
(c) the expense must otherwise comply with the eligibility criteria established by Ontop from time to time.
Refunds may apply to lounge entry fees incurred by the Subscriber and/or accompanying passengers, as determined by Ontop. Currently, the VIP Lounge Entry Refund covers up to 100% of eligible lounge entry fees, subject to validation.
Ontop reserves the right to introduce caps, limits, exclusions, or to modify, suspend, or terminate this Benefit at any time, in accordance with these Terms.
The Ontop Credits terms supplement these Ontop Reserve Terms of Service and are incorporated herein by reference. Capitalized terms not defined in this section have the meaning ascribed to them in these Terms or the Remote Workers T&Cs.
4.9.1 What Are Ontop Credits?
Ontop Credits are discretionary lifestyle reimbursement benefits available exclusively to active Ontop Reserve Subscribers. These benefits complement the Cashback and fee discount features of the Ontop Reserve Plan by providing semiannual reimbursement allowances across curated lifestyle categories. Access to Ontop Credits is contingent on maintaining an active Ontop Reserve subscription in good standing.
Subject to the conditions set forth in these Terms, each active Subscriber shall have access to the following non-accumulative semiannual reimbursement budgets:
Important:
To qualify for reimbursement, a purchase must:
(a) fall within one of the four categories set forth in Section 4.9.2 above, as reasonably determined by Ontop;(b) have been paid by the Subscriber personally and in full prior to submission; (c) have occurred during the active month at the time of submission; and (d) be supported by a valid receipt meeting the requirements of Section 4.9.4 below.
The following are not eligible for reimbursement, regardless of category:

For the avoidance of doubt:
- Category eligibility is determined by Ontop at its sole reasonable discretion. In cases of doubt, Subscribers are encouraged to contact support prior to submission.
- Purchases submitted for reimbursement under Ontop Credits must be incurred within the same calendar month in which the reimbursement request is made. Any expenses incurred in prior months shall not be eligible for reimbursement, and Subscribers may not submit receipts from previous months for reimbursement in a later period.
- Any merchants or transactions classified under the Cashback category shall not be considered part of any Ontop Credits category and, therefore, shall not be eligible for Ontop Credits-related benefits. Transactions that qualify for Cashback benefits are exclusively subject to the applicable Cashback terms and conditions, and no Ontop Credits benefits shall apply to such transactions.
All reimbursement requests must be supported by documentation that:
(a) is legible and unaltered;(b) clearly shows: (i) merchant name, (ii) date of purchase, (iii) itemized description of goods or services purchased, and (iv) total amount paid;(c) reflects a transaction date within the current active semester; and(d) is submitted in a format accepted by the Ontop Platform (PDF, JPG, or PNG).
Ontop reserves the right to request additional documentation to verify the authenticity or eligibility of any submission. Failure to provide requested documentation within five (5) business days of the request will result in automatic denial of the reimbursement request.
Reimbursement requests are subject to review and approval by Ontop. Submission of a request does not constitute approval or guarantee of credit. Ontop will process approved reimbursements to the Subscriber's applicable Account in the Ontop Global Account in accordance with its internal review cycles. Ontop does not guarantee a specific processing timeline and shall not be liable for delays beyond its reasonable control.
Reimbursements will be denied in any of the following circumstances:
Subscribers whose requests are denied will be notified via in-app notification or email, with a general reason for denial where feasible.
Ontop Credits are intended solely for genuine personal use by the Subscriber. The following conduct is prohibited and may result in denial of requests, suspension of Ontop Reserve benefits, or termination of the subscription, at Ontop's sole discretion:
Ontop reserves the right to audit reimbursement history at any time. Consistent with Sections 4.16 and 9.2 of these Terms, Subscribers found to have engaged in fraudulent or abusive conduct may be required to return previously credited amounts, and Ontop reserves all rights to pursue available legal remedies. Any such conduct shall also constitute a violation of the Remote Workers T&Cs and/or the Ontop Global Account T&Cs, as applicable to each User.
Upon cancellation or suspension of the Ontop Reserve Plan for any reason:
This section supplements Section 4.12 (Unsubscribing from Ontop Reserve and Section 4.16 (Termination by Ontop) of these Terms.
4.9.8 No Guarantee of Availability
Ontop Credits are a discretionary benefit of the Ontop Reserve Plan. Ontop reserves the right to modify, suspend, or discontinue Ontop Credits, or any category within it, at any time upon notice to Subscribers in accordance with Section 7 (Changes) of these Terms. Modification or discontinuation of Ontop Credits shall not constitute grounds for a subscription refund beyond the refund policy set forth in Section 4.13 of these Terms.
The limitation of liability set forth in Section 6 of these Terms applies in full to any claims arising out of or related to Ontop Credits, including any denial, delay, or modification of reimbursements.
Ontop Credits are not included as part of the Ontop Reserve Plan seven (7)-day trial period and are only available to Users who are subscribed to the Ontop Reserve Plan and are in good standing (i.e., up to date with all applicable payments).
Subscribers to the Ontop Reserve Plan may be entitled to receive free worldwide physical card delivery, subject to (i) availability of these features; (ii) availability in their country of residence; (iii) Ontop's issuance policy, and (iv) internal inventory and courier availability. Delivery times may vary based on geographic location, local logistics, and courier availability. Ontop will make reasonable efforts to ensure timely delivery; however, no guarantees are made regarding delivery timelines or availability in specific regions. Ontop reserves the right to limit or restrict the distribution of the Physical Card in certain jurisdictions due to operational, regulatory, or vendor constraints.
Non- Ontop Reserve users may request delivery by paying the applicable fee. Free Physical Card delivery does not apply during the Free Trial.
During the early-access phase of the Ontop Reserve Plan, Subscription Fees will not be charged automatically. Instead, after completing the Ontop Reserve sign-up form, the Subscription Fee will be manually deducted from the Subscriber’s applicable Account of the Ontop Global Account within twenty-four (24) business hours. The deduction will occur on a one-time basis for the selected Billing Cycle: monthly ($14.90 USD) or annually ($145.00 USD) or the equivalent in USDC.
If there are insufficient funds in the Subscriber’s applicable Account of the Ontop Global Account at the time of the deduction, the Ontop Reserve Plan will not be activated. The Subscriber will need to restart the subscription process once funds are available. No Benefits, bonuses, or Cashback will be granted for the applicable Billing Cycle unless the Subscription Fee has been successfully charged.
In order to unsubscribe or change any Subscription Plans, Subscribers may click on the "Unsubscribe" button on the Ontop Platform (web or app), reach out to our live chat customer service, or write to support@getontop.com at least five (5) calendar days before the date in which the Subscription Fee is charged every month, in order to ensure cancellation of Ontop Reserve at the end of that month.
Unsubscribing will result in cancellation of all Ontop Reserve Benefits at the end of the current cycle. Once unsubscribed, the user will not be eligible for Cashback or the Benefits set forth in Section 4 in the following month unless re-subscribed.
Subscribers are eligible for a full refund within the first five (5) calendar days after the first charge of the Subscription Fee following their signup. For Yearly Billing Cycles, no refunds will be provided after the initial 5-day window. Ontop does not issue cash refunds. At its discretion, Ontop may offer credits for future subscription plans or Ontop services. Refund eligibility will be determined on a case-by-case basis in accordance with Ontop's internal policies.
Subscribers may only be enrolled in one Ontop Subscription Plan at a time. Ontop Reserve Benefits cannot be combined with benefits from other subscription plans or promotions, unless explicitly stated by Ontop.
Benefits received through the Ontop Reserve Plan may or may not be considered taxable income depending on your jurisdiction. Ontop is not responsible for any tax obligations related to Benefits received. Please consult with a licensed tax advisor regarding reporting requirements in your country of residence.
Ontop reserves the right to terminate these Terms, your access to the Ontop Reserve Plan, or your Subscription at any time, at its sole discretion, without cause, and without prior notice. Upon termination, all associated Benefits will be discontinued, and your access to the Ontop Reserve features will cease immediately. This shall not affect any Cashback already received prior to such termination.
If Ontop provides a discount on the Ontop Reserve subscription, Ontop reserves the right to modify the subscription plan with ten (10) calendar days' prior notice.
4.18 Free Trial

Ontop Reserve may include a one-time seven (7) calendar day free trial, subject to availability.

If you cancel before the end of the Free Trial:

If not canceled before the trial ends, the Subscription Fee will be charged automatically according to the payment option selected at sign-up, and the annual commitment begins.

The Free Trial is intended solely to allow eligible users to experience the Ontop Reserve Plan for the first time.
Accordingly:
a) The Free Trial is available only once per User.
b) Users who have previously been subscribed to the Ontop Reserve Plan at any time in the past, regardless of duration or payment method, are not eligible for a Free Trial upon re-subscribing.
c) Users who cancel Ontop Reserve after completing a Free Trial will not be eligible for a Free Trial again in the future.
d) Users upgrading from another Ontop subscription plan who have never previously subscribed to Ontop Reserve may be eligible for the Free Trial.
Ontop reserves the right to determine Free Trial eligibility based on its internal records and subscription history. Free Trial availability is not guaranteed and may be modified or discontinued at any time.
Active Subscribers enrolled in the Ontop Reserve annual subscription plan are eligible to receive an enhanced Reward rate on their Future Fund Account balances, as follows:
This benefit applies automatically. No additional action is required by the Subscriber. Eligibility is determined by Ontop based on the Subscriber's active annual Reserve subscription and active Future Fund Account balance(s) at the time of each Reward calculation cycle.
This benefit is subject to the following conditions:
(a) It applies exclusively to Subscribers on the annual Ontop Reserve Plan. Monthly installment subscribers are not eligible.
(b) The Subscriber must maintain an active Future Fund and/or Future Fund 30 balance at the time of Reward calculation. No enhanced rate will be applied to periods during which no balance is held.
(c) The enhanced rate is applied prospectively and will cease immediately upon cancellation, expiration, or termination of the annual Reserve subscription, or upon suspension or termination of the Future Fund Account Service.
(d) This benefit is governed by and subject to the Future Fund Account Terms of Service, including all disclaimers regarding the variable and non-guaranteed nature of Rewards. The enhanced rate described herein is illustrative only and does not constitute a commitment or guarantee of any specific return.
(e) Ontop reserves the right to modify, suspend, or discontinue this benefit at any time upon notice to Subscribers in accordance with Section 7 (Changes) of these Terms.
You agree to defend, indemnify, and hold harmless Ontop (and its officers, directors, subsidiaries, shareholders contractors, employees, successors, assigns, and agents) from and against any and all direct claims, losses, liabilities, and reasonable expenses, including attorneys' fees, from any and all claims, losses, liabilities, expenses or demands made by any third party due to, related to, or arising from (a) your negligent or intentional use of the Services and Ontop Reserve Plan, (b) your violation of these Terms, (c) your violation of applicable laws or regulations, including any applicable tax laws or similar legislation in your jurisdiction. Ontop reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Ontop in asserting any available defenses. You agree not to settle any such claim without Ontop's prior written consent. Ontop will make reasonable efforts to provide you with timely notice of any such claim.
You hereby release, waive, and forever discharge Ontop (and its officers, directors, shareholders, employees, agents, subsidiaries, affiliates, successors, and assigns) from, and hereby waive and relinquish, each and every past, present and future dispute, claim, controversy, demand, right, obligation, liability, action and cause of action of every kind and nature (including personal injuries, death, and property damage), that has arisen or arises directly or indirectly from, or that relates directly or indirectly to, the Services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ONTOP (OR ITS SUPPLIERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THESE TERMS, OUR LIABILITY TO YOU FOR ANY AND ALL DAMAGES ARISING FROM OR RELATED TO THESE SERVICES (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO A MAXIMUM OF FIFTY US DOLLARS (U.S. $50.00). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT INCREASE THIS LIMIT. YOU AGREE THAT OUR SUPPLIERS WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THESE SERVICES.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an email to the last email address you provided to us (if any), and/or by prominently posting notice of the changes on our Website and/or Platform. You are responsible for providing us with your most current email address. In the event that the last email address that you have provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the email containing such notice will nonetheless constitute effective notice of the changes described in the notice. Any changes to these Terms will be effective immediately. Continued use of Ontop Reserve following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
These Terms will be interpreted, governed, and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods or (CISG) will not govern these Terms nor the rights or obligations of the parties under these Terms.
8.2.1 Agreement to Arbitrate. If informal attempts to resolve any dispute relating to your use of our Ontop Reserve services or Platform, including whether the claims asserted are arbitrable, are unsuccessful, you agree that the matter will be referred to and settled through final and binding arbitration in Miami/FL, United States of America, in the English language, before a single arbitrator (under the AAA Commercial Arbitration Rules, then in effect). The parties agree that the arbitrator is not empowered to award damages in excess of the limitations of liability specified under these Terms.
8.2.2 Enforcement. Judgment upon the award rendered by the arbitrator, including equitable relief, may be entered by any court that has jurisdiction. The arbitrator will have the power to enforce, to the fullest extent allowed under the law, any default judgment entered against you arising out of your non-payment of Invoices.
8.2.3 Injunctive Relief. Notwithstanding the above, in the event of your or others’ unauthorized access to or use of our Ontop Reserve services or Platform in violation of these Terms, you agree that we are entitled to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
8.2.4 Class Action and Jury Waiver. Any arbitration under these Terms will take place on an individual basis – class arbitrations and class actions are not permitted. YOU UNDERSTAND THAT BY AGREEING TO THESE TERMS, THE PARTIES EACH WAIVE THE RIGHT TO TRIAL BY JURY AND THE RIGHT TO BRING OR PARTICIPATE IN ANY DISPUTE ON A CLASS, PRIVATE ATTORNEY GENERAL, REPRESENTATIVE, OR SIMILAR BASIS. ONLY CONSENT TO THESE TERMS IF YOU UNDERSTAND AND AGREE TO THIS PROVISION.
9.1 Ontop is the sole sponsor of these Terms and is not affiliated with, endorsed by, or in any way officially connected to Booking.com Holding B.V., Airbnb Inc., Netflix, Inc., Amazon.com, Inc., Warner Bros. Discovery, The Walt Disney Company, Youtube, LLC, Apple Inc., Paramount Global, Spotify AB, Sony Interactive Entertainment, Nintendo CO., LTD, CIVITATIS TOURS SL, GetYourGuide Inc. or any of their parent companies, subsidiaries, or their affiliates. The names "Booking.com","Airbnb", "Netflix", "Prime", "Audible", "Kindle", "HBO Max", "Disney+", "Youtube+", "Youtube plus" "Apple TV", "Paramount+", "Spotify", "Playstation", "Nintendo", "Civitatis", "GetYourGuide Inc."are registered trademarks and are used in these Terms solely for the purpose of identifying the category of Cashback. All rights, titles, and interests belong exclusively to the respective company. Any product inquiries or concerns should be directed to the manufacturer.
9.2 Ontop reserves the right to disqualify any Participant found to be violating these Terms or the Remote Workers T&Cs, Payroll Account T&Cs or the Ontop Global Account T&Cs and to block your account at any time if it is determined that fraud or unlawful action is taking place
9.3 By subscribing to these Terms, you grant the Ontop permission to use your name, likeness, image, voice, and/or appearance as they may be embodied in any pictures, photos, video recordings, audiotapes, digital images, and the like, taken or made on behalf of the Ontop for promotional purposes related to these Terms, without further compensation or notice.
9.4 By subscribing to these Terms, you acknowledge and agree that Ontop may collect, store, and use any personal information you provide in accordance with Ontop's Privacy Policy. Please refer to Ontop's Privacy Policy for more information on how we handle your personal information.
