This payment agent agreement (the “Agreement”) is between Ontop Holdings Inc. (together with its subsidiaries, collectively referred to as “Ontop”, “we”, or “Us”), and you, the user of the Ontop Global Account.
Ontop is not licensed as a bank in the US and does not provide banking services. Ontop Holdings Inc. is registered with the Financial Crimes Enforcement Network or FinCEN and renews its registration annually. Any capitalized terms not defined in this Agreement will have the meanings outlined in the Remote Worker General Terms and Conditions, Payroll Account Terms and Conditions and/or the Global Account Terms and Conditions.
This is a legal agreement between you and Ontop, so please read it carefully.
Through this Agreement, you are appointing Ontop as your non-exclusive payment agent to receive monetary value from a payor for services provided and/or any transfers through the Global Account (“Payment”). Therefore, you acknowledge, request, and instruct Ontop to receive any Payment on your behalf made through the Global Account. If you are acting on behalf of an entity, you represent and warrant that you possess the authority to enter into this Agreement in that capacity.
In the case of Remote Workers and the Payroll Account, the payor's obligation to you is fulfilled and extinguished once the Payment is received and made available to us. These Payments will be processed via the Ontop Platform and credited to your Ontop Global Account or bank account, as outlined in the Remote Worker General Terms and Conditions , incorporated here by reference.
You acknowledge that as payment agent, Ontop is not liable for any Payments due from a payor, exchange rates, taxes, or fees associated with transactions from the Ontop Global Account to other payment methods or financial institutions.
