Program End: This Program has no fixed end date and will remain active until Ontop determines otherwise, as communicated in accordance with Section 3.4.
These terms and conditions ("Terms") govern the "Milestone Cashback" program, part of the Ontop Growth Incentives initiative ("Program"), organized by Ontop IC Operations LLC ("us", "we" or "Ontop").
Through this Program, Ontop will credit certain business clients engaged through the Ontop Platform (each, a "Client" or "Participant") directly to their Client Balance when their active headcount of Remote Workers engaged through Ontop crosses certain hiring milestones, subject to these Terms. By participating in this Program, the Client agrees to be bound by these Terms.

1. DEFINITIONS:
1.1 "Program Period" means the period between the Program Begins date indicated above and the date on which Ontop discontinues the Program, as communicated in accordance with Section 3.4.
1.2 "Client" or "Participant" refers to the business that engages Remote Workers through the Ontop Platform and that has been identified by Ontop, at its sole discretion, as eligible to participate in the Program.
1.3 "Ontop Platform" refers to the proprietary software platform owned and operated by Ontop for onboarding, managing, and paying Remote Workers on behalf of its business clients.
1.4 "Active Remote Worker" refers to a Remote Worker engaged by the Client through the Ontop Platform who has completed onboarding, received at least one payout through the Ontop Platform, and remains in active status (i.e., has not been offboarded or terminated) as of the relevant measurement date.
1.5 "Milestone" refers to each of the following thresholds of active headcount reached by a Client through the Ontop Platform: its twentieth (20th) Active Remote Worker, its fiftieth (50th) Active Remote Worker, and its hundredth (100th) Active Remote Worker.
1.6 "Cashback" refers to the credit granted to a Client that reaches a Milestone and satisfies the Qualifying Conditions set forth in Section 2.3, in the amount corresponding to each Milestone as set forth in Section 2.2, to be credited directly to its Client Balance in accordance with Section 2.4.
1.7 "Qualifying Period" means the period of ninety (90) consecutive calendar days following the date on which a Client first reaches a Milestone, during which the Active Remote Worker(s) comprising that Milestone must remain in active status for the corresponding Cashback to become payable.
1.8 "Commitment Term" means the annual or multi-year service commitment that the Client must enter into, or already maintain, with Ontop in order to be eligible to receive a Cashback under this Program, as further described in Section 2.1.
1.9 "Milestone Target Date" means the specific date, set forth in the Clientβs individual Program proposal by its assigned Ontop Key Account Manager based on the Clientβs then-current growth trajectory and projected headcount, by which the Client must reach a given Milestone in order to remain eligible for the corresponding Cashback. No Milestone offer under this Program shall be open-ended or made available to a Client in perpetuity.

2. PROGRAM RULES:

3. GENERAL CONDITIONS OF THE PROGRAM:
3.1 The General Conditions of the Program will be valid throughout the Program Period.
3.2 Ontop reserves the right to cancel, suspend, and/or modify the Program, or any part of it, including the Milestone thresholds, Cashback amounts, or Qualifying Conditions, if any fraud, technical failure, or any other factor beyond Ontop's reasonable control impairs the integrity or proper functioning of the Program, as determined by Ontop in its sole discretion.
3.3 Ontop reserves the right to disqualify any Client, or to deny payment of a Cashback prior to it being credited, if it determines, in its sole discretion, that the Client has violated these Terms, artificially inflated its headcount, engaged in any unlawful or fraudulent conduct, or otherwise acted to circumvent the intent of the Program.
3.4 Ontop reserves the right, at its sole discretion, to modify, change, update, or discontinue these Terms or the Program at any time. Modifications will be communicated by Ontop and will take effect immediately from the time of publication, except that Milestones already reached and verified under the Terms then in effect will not be adversely affected by a subsequent modification.
3.5 By participating in the Program, the Client agrees to release and hold harmless Ontop, its related companies, affiliates, suppliers, distributors, and advertising agencies, and each of their respective officers, directors, employees, and agents (collectively, the "Released Parties"), from and against any claim or cause of action arising out of participation in the Program.
3.6 These Terms shall be governed by and construed in accordance with the law of the State of Delaware. Any dispute in connection with these Terms that cannot be resolved amicably shall be resolved by binding arbitration on an individual basis under the rules established in the Ontop Platform Terms of Service.
3.7 Please refer to our Client General Terms and Conditions and Privacy Policy (collectively, the "Ontop Platform Terms"), which shall govern any matters not explicitly covered by these Terms. Any capitalized terms used in these Terms and not defined herein shall have the meaning ascribed to them in the Ontop Platform Terms.
3.8 By participating in the Program, the Client acknowledges and agrees that Ontop may collect, store, and use any information related to the Client's headcount, payment volume, and account activity as necessary to administer the Program, in accordance with our Privacy Policy and the Ontop Platform Terms.
3.9 The Client agrees not to publicly disclose the specific terms, amounts, or existence of this Program without Ontop's prior written consent, except as required by applicable law or regulation.
3.10 Nothing in these Terms shall be construed as a guarantee of any specific business outcome, growth, or savings for the Client. The Cashback is granted solely on the basis of the Client's satisfaction of the Qualifying Conditions set forth in these Terms.
3.11 The Client is solely responsible for determining and complying with any tax, accounting, or regulatory treatment applicable to the Cashback under the laws of its jurisdiction. Ontop does not guarantee any particular tax treatment of the Cashback.
