Global Account Referral Program

These Terms and Conditions (the "Terms" or "T&Cs") are applicable to all individuals who participate in the Global Account Referral Program (the "Program") operated by Ontop Holdings Inc., a corporation organized under the laws of the State of Delaware ("Ontop", "we", "us", or "our").

🧐 PLEASE READ THESE TERMS CAREFULLY BEFORE PARTICIPATING IN THE PROGRAM. THESE TERMS ARE NON-NEGOTIABLE.

By participating in the Program, you agree to be bound by these Terms, Ontop's General Terms and Conditions, and the Ontop Global Account Terms and Conditions, which govern the Ontop Global Account at all times.

1. Program Overview πŸͺ‚

1.1 The Global Account Referral Program allows approved existing holders of an Ontop Global Account ("Members") to invite independent professionals to open and fund their own Ontop Global Account, and to receive a fixed Referral Reward when a Qualifying Referral results in Qualifying Funding.

1.2 The Program is a user referral reward program. Referral Rewards are not commissions, brokerage fees, sales compensation, or consideration for the promotion, marketing, distribution or facilitation of access to any Ontop product or service.

1.3 Participation in the Program is voluntary, personal, and non-transferable.

1.4 The Program is separate and independent from the Ontop Ambassadors Program and from any other referral or partner program offered by Ontop. Participation in one does not grant any rights under the other.

2. Who or What is That? πŸ™‹

"Member" means an individual who holds an active Ontop Global Account, has applied to or been invited into the Program, and has been approved by Ontop to participate.

"Personal Account" means the Ontop Global Account held by an individual in their own name.

"Referred User" means an individual who submits their information through a Member's Referral Link and who did not hold an Ontop Global Account at the time of submission.

"Referral Link" means the unique personal link (and associated QR code) issued by Ontop to an approved Member for the purpose of the Program.

"Program Portal" means the official Program platform made available by Ontop at join.getontop.com

"Qualifying Referral" means a referral that meets all conditions set out in Section 4.

"Qualifying Funding" means the first deposit of external funds made by the Referred User into their Personal Account in an amount equal to or greater than fifty United States Dollars (USD 50) or its equivalent, originating from either (i) a fiat-to-USDC on-ramp or (ii) a transfer of USDC from an external wallet held in the Referred User's own name. Internal transfers from any other Ontop account or balance, including without limitation the Payroll Account, and any funds contributed, reimbursed or financed directly or indirectly by the Member, do not constitute Qualifying Funding.

"Referral Reward" means the fixed amount payable to a Member in accordance with Section 5.

"KYC" means Ontop's know-your-customer identity verification process.

3. Eligibility 🎟️

3.1 Participation in the Program requires that the individual already holds an active Ontop Global Account in good standing. Ontop verifies this condition prior to approval.

3.2 Individuals may apply to the Program through the Program Portal, or may be invited directly by Ontop. In either case, admission to the Program requires approval by Ontop.

3.3 Approval is granted at Ontop's sole and absolute discretion. No individual has any right or entitlement to be admitted to the Program, and Ontop is not required to state a reason for declining an application.

3.4 Participants must be at least eighteen (18) years old and capable of entering into legally binding agreements.

3.5 The Program is available only in those jurisdictions where the Ontop Global Account is offered and available. Ontop may exclude any jurisdiction from the Program at any time.

3.6 Ontop reserves the right, at its sole discretion, to approve, reject, suspend or remove any participant from the Program at any time.

4. Qualifying Referrals βœ…

4.1 A referral is a Qualifying Referral only if all of the following conditions are met:

  • a) The Referred User accessed the Program through the Member's Referral Link and submitted their own information through the Program Portal;
  • b) The Referred User did not hold an Ontop Global Account at the time of submission;
  • c) The information submitted is accurate, complete, and relates to a real individual;
  • d) The Referred User subsequently opens an Ontop Global Account and successfully completes KYC; and
  • e) The Referred User completes Qualifying Funding within sixty (60) days of the referral submission.

4.2 The Referred User must submit their own information. Members may not submit information on behalf of any third party.

4.3 Only the first valid submission in respect of a given Referred User will be recognized. Where the same individual is submitted through more than one Referral Link, the earliest valid submission prevails.

4.4 A referral that does not reach Qualifying Funding within sixty (60) days of submission expires and will not generate a Referral Reward.

4.5 Referrals of individuals who already hold an Ontop Global Account do not qualify and will not generate a Referral Reward.

4.6 Ontop reserves the right to reject, invalidate or disqualify any referral at its sole discretion.

4.7 Ontop's determination regarding referral validity, attribution, Qualifying Funding and Referral Reward eligibility shall be final and binding.

5. Referral Rewards 🎁

5.1 Amount. Ontop will pay a Referral Reward of twenty United States Dollars (USD 20) per Qualifying Referral that results in Qualifying Funding.

5.2 Single sided. Only the Member receives a Referral Reward. Referred Users receive no payment, discount or other consideration under the Program.

5.3 One reward per Referred User. Only one (1) Referral Reward is payable in respect of any single Referred User.

5.4 Conditions precedent. No Referral Reward accrues, and no amount becomes due, until the Referred User has both (i) successfully completed KYC and (ii) completed Qualifying Funding.

5.5 Caps. The following limits apply to each Member:

  • a) A maximum of fifteen (15) pending referrals at any one time. While a Member is at this limit, their Referral Link will not accept new submissions until pending referrals either result in Qualifying Funding or expire.
  • b) A maximum of fifty (50) Referral Rewards per calendar year. Referrals in excess of this limit do not generate a Referral Reward.

5.6 Ontop may adjust an individual Member's limits at its discretion.

5.7 Ontop reserves the right to modify the Referral Reward amount and the caps set out in this Section at any time in accordance with Section 13.1.

6. Payout Process πŸ’³

6.1 Referral Rewards are credited exclusively to the Member's own Personal Account. Ontop will not pay a Referral Reward to any account other than the Member's own Personal Account, and will not pay to third parties.

6.2 Members must maintain an active Personal Account in good standing to receive Referral Rewards.

6.3 Payments are processed on a weekly basis (every Wednesday), subject to validation

6.4 Ontop reserves the right to delay, withhold or reverse payments in cases of suspected fraud, abuse, disputes, or non-compliance with these Terms.

6.5 Members are solely responsible for any taxes, duties, contributions or obligations arising from Referral Rewards received. Ontop does not withhold taxes unless required by law.

7. Restrictions and Prohibited Conduct 🚫

7.1 Members must not:

  • Refer themselves, or refer any account which the Member owns, controls, or has any beneficial interest in ("self-referral");
  • Open or cause to be opened an Ontop Global Account on behalf of, or in the name of, another person;
  • Collect, compile, store or submit personal data on behalf of any Referred User or other third party;
  • Fund, reimburse or finance, directly or indirectly, the Qualifying Funding of a Referred User;
  • Submit fabricated, purchased, scraped or otherwise unlawfully obtained personal data;
  • Send unsolicited bulk communications, spam, or any communication that violates applicable electronic communications law;
  • Misrepresent Ontop, the Ontop Global Account, the Program, or any Ontop product or service;
  • Impersonate Ontop or hold themselves out as an employee, agent or representative of Ontop;
  • Use paid advertising on Ontop brand terms or otherwise bid on Ontop trademarks;
  • Create multiple Program accounts, or attempt to circumvent any limit or cap set out in these Terms;
  • Attempt to manipulate Referral Rewards, attribution, or Program system logic in any way.

7.2 Disclosure. Where a Member publicly promotes the Program or their Referral Link, the Member must clearly disclose that they participate in a rewards program and may receive a reward. Members must not present their Referral Link as an independent or disinterested recommendation.

8. Withholding, Reversal and Recovery ⚠️

8.1 Ontop may, at its sole discretion, reject, withhold, suspend, reverse or recover any Referral Reward, including after payment has been made, where Ontop identifies or reasonably suspects:

  • Fraud, abuse or attempted abuse of the Program;
  • Self-referral or any conduct described in Section 7;
  • Suspicious activity, or activity inconsistent with Ontop's Anti-Money Laundering Policy;
  • Failure of the Member or the Referred User to meet eligibility requirements;
  • Error in calculation, attribution or payment.

8.2 Ontop may suspend or terminate a Member's participation in the Program and forfeit any accrued but unpaid Referral Rewards in the circumstances described in Section 8.1.

8.3 Where a Referred User's account is closed, reversed, charged back, or found to have been opened in breach of the Ontop Global Account Terms and Conditions, any associated Referral Reward may be reversed.

9. Relationship with Other Ontop Programs πŸ”€

9.1 The Program and the Ontop Ambassadors Program are independent programs, operate on separate platforms, and are governed by separate terms.

9.2 An individual may participate in both programs, provided they independently satisfy the eligibility requirements of each.

9.3 No double compensation. A single referred party will generate compensation under one program only, determined by the qualifying event that actually occurred. Without limitation, where a company is referred under the Ontop Ambassadors Program, the opening or funding of Ontop Global Accounts by that company's workers, contractors or personnel does not generate Referral Rewards under this Program.

9.4 Where a referral could arguably qualify under both programs, Ontop will determine which program applies, and that determination shall be final.

10. Governing Documents and Policies πŸ“„

10.1 πŸ’» Ontop Global Account Terms and Conditions. The Ontop Global Account is governed at all times by the Ontop Global Account Terms and Conditions. Any definitions not defined in these Terms will have the meanings ascribed to them therein.

10.2 πŸ” Privacy Policy. The Ontop Privacy Policy provides information on how Ontop collects, processes, uses, retains and discloses personal data. Members and Referred Users acknowledge and understand that Ontop may collect, process, use, retain and disclose personal data pursuant to the Privacy Policy, as updated from time to time.

10.3 🧺 AML Policy. Your access to the Program is also subject to our Anti-Money Laundering Policy.

10.4 πŸ“‡ Personal Data and Consent.

10.4.1 Referred Users submit their own personal data directly to Ontop through the Program Portal and provide their own consent at the time of submission. Members do not collect, compile or transmit personal data on behalf of Referred Users.

10.4.2 Members must not collect, compile, store or submit the personal data of any Referred User or other third party to Ontop, whether through the Program Portal or by any other means.

10.4.3 To the extent that a Member shares, provides or transmits to Ontop any personal data relating to another individual in connection with the Program, the Member represents and warrants that they have obtained that individual's prior express authorization to do so. The Member is solely responsible for having obtained such authorization and shall hold Ontop harmless from any claim, loss, penalty or liability arising from the Member's failure to obtain it.

10.4.4 Where Ontop contacts a Referred User, Ontop will obtain that individual's consent to the processing of their personal data in accordance with the Ontop Privacy Policy and these Terms.

11. Term and Termination β³βœ‚οΈ

11.1 Subject to this Section, these Terms will remain in full force and effect while you participate in the Program.

11.2 Ontop may modify, suspend or terminate the Program, in whole or in part, at any time, with reasonable notice.

11.3 A Member may withdraw from the Program at any time by notifying Ontop. Referral Rewards already accrued in respect of Qualifying Referrals completed prior to withdrawal will be paid in the ordinary course, subject to these Terms.

11.4 If the Program is suspended or terminated, referrals validly submitted before the effective date of such suspension or termination may remain eligible for a Referral Reward, provided that all requirements for a Qualifying Referral, including Qualifying Funding, are completed within the original sixty (60) day qualification period. Any such Referral Reward remains subject to these Terms, including Ontop's rights to reject, withhold, reverse, or recover Referral Rewards.

11.5 Even after your rights under these Terms are terminated, any of the provisions hereunder which by their nature are meant to survive expiration or early termination will remain in effect.

12. Disclaimers and Relationship of the Parties 🧾

12.1 Nothing in these Terms creates any employment, agency, partnership, joint venture, franchise or intermediation relationship between Ontop and any Member. Members act on their own behalf and are not authorized to bind, represent or act for Ontop in any capacity.

12.2 Members have no authority to negotiate, agree terms, make representations, or offer any product or service on behalf of Ontop.

12.3 The Program is provided on an "as is" basis. Ontop does not warrant that the Program Portal will be uninterrupted or error free.

13. General πŸͺ–

13.1 πŸ”€ Changes. These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an email to the last email address you provided to us (if any), and/or by prominently posting notice of the changes on our website. You are responsible for providing us with your most current email address. In the event that the last email address that you have provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the email containing such notice will nonetheless constitute effective notice of the changes described in the notice. Any changes to these Terms will be effective immediately. Continued participation in the Program following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.

13.2 βš–οΈ Governing Law. These Terms and Conditions will be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Each party irrevocably agrees that the state and federal courts in Miami-Dade County, Florida will have jurisdiction to settle any such dispute or claim.

13.3 Electronic Communications. The communications between you and Ontop use electronic means, whether you use our Website or send us emails. For contractual purposes, you (a) consent to receive communications from us in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Ontop provides to you electronically satisfy any legal requirement that such communications would satisfy as if it were a hardcopy. The foregoing does not affect your non-waivable rights.

13.4 Entire Terms. These Terms constitute the entire agreement between you and us regarding the Program. Our failure to exercise or enforce any right or provision of these Terms shall not be constituted as a waiver of such right or provision. The section titles used in these Terms are for convenience only and have no legal or binding effect. The word "including" means "including without limitation". If any provision of these Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. These Terms and your rights and obligations hereunder may not be assigned, subcontracted, delegated or otherwise transferred by you without Ontop's prior written consent, and any attempted assignment, subcontracting, delegation or transfer in violation of the foregoing will be null and void. Ontop may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.

13.5 Acceptance of Terms. By participating in the Program, you acknowledge that you have read, understood, and agreed to these Terms.
