These Terms and Conditions (the “Terms”) govern the Monthly Drop Box – December Edition campaign (the “Campaign”), available exclusively to Ontop Reserve subscribers.

During the Campaign Period, eligible Reserve users will have access to a curated selection of exclusive perks and rewards designed to help them enjoy and save more during December.

1. DEFINITIONS:

1.1 “Campaign Period” means the period between December 18, 2025, at 12:00 am (GMT-5) and December 31, 2025, at 11:59 pm (GMT-5).

1.2 “Ontop Platform” refers to the digital platform operated by Ontop through which users access their accounts, cards, subscriptions, and benefits.‍

1.3 “Reserve Plan” refers to Ontop’s paid subscription plan that grants access to enhanced benefits, including exclusive perks and rewards.

1.4 “Reserve Perk Box” or “Monthly Drop Box” refers to the set of promotional perks made available to eligible Reserve subscribers during the Campaign Period.

1.5 “Perk(s)” refers to the individual benefits included in the Reserve Perk Box, as detailed in Section 2.3.

1.6 “Participant(s)” means active Reserve subscribers with access to the Ontop Card during the Campaign Period.

2. CAMPAIGN  RULES:

2.1 Eligibility

To participate in this Campaign, users must:

• Have an active Reserve subscription during the Campaign Period.
• Have an active Ontop Card.
• Comply with Ontop’s General Terms and Conditions.

Access to the Perks is automatic for eligible users; no additional registration is required.

2.2 Campaign Mechanics

• During the Campaign Period, eligible Participants will be able to access and redeem the Perks included in the December Reserve Perk Box.
• Perks are valid only within the Campaign Period.
• Each Perk may be redeemed once per user, unless otherwise stated.
• Perks are subject to availability and applicable conditions defined by Ontop.

2.3 Available Perks

The December Reserve Perk Box may include, but is not limited to:

• 75% off your next Uber ride
• 60% off your next Starbucks coffee
• 40% off your next Kindle book
• 3% cashback on your next fashion purchases (max USD 10)

The specific Perks, limits, and conditions applicable to each benefit will be communicated through official Ontop channels.

2.4 Perk Redemption and Delivery

• Perks are not applied as instant discounts at checkout.
• To redeem a Perk, the Participant must complete a qualifying purchase using their Ontop Card at the corresponding merchant.
• Applicable benefits will be delivered in the form of cashback.
• Cashback will be credited to the Participant’s Ontop Wallet within a reasonable processing time after validation.
• Perks are non-transferable, non-withdrawable, and may not be exchanged for cash, unless explicitly stated.

2.5 Restrictions

• Perks apply only to eligible merchants and categories.
• Perks cannot be combined with other Ontop promotions unless explicitly stated.
• Ontop reserves the right to revoke any Perk in case of fraud, misuse, chargebacks, or violation of these Terms.
• Perks not redeemed within the Campaign Period will expire automatically.

2.6 Modification and Availability

Ontop reserves the right to:

• Modify, replace, or remove Perks at any time.
• Adjust Perk conditions, limits, or availability.
• Suspend or terminate the Campaign at its sole discretion.

2.7 Personal Data

Participation in this Campaign implies consent for Ontop to process personal data strictly for the purpose of administering the Campaign, in accordance with Ontop’s Privacy Policy.

2.8 Acceptance of Terms

By accessing or redeeming any Perk during the Campaign Period, Participants acknowledge having read, understood, and accepted these Terms and Conditions, as well as Ontop’s General Terms and Conditions.

3. GENERAL CONDITIONS OF CAMPAIGN:

3.1 Validity: The Campaign will be valid only during the designated one-hour window communicated via push notifications and email.

3.2 Fraudulent Activity. Ontop reserves the right to (a) cancel, suspend, and/or modify the Campaign and (b) to block a Participant’s account at any time if it is determined that fraud or unlawful action is taking place in order to gain additional cashback.

3.3. Elegibility. Ontop reserves the right to modify the conditions of eligibility for this Campaign and/or to cancel the Campaign, at any time and at its sole discretion.

3.4 Modification and Termination. Ontop reserves the right, at its sole discretion, to modify, change, or update these Terms at any time. Modifications will be communicated by Ontop and will take effect immediately from the time of publication.

3.5 Limitation of Liability. By participating in the Campaign, you agree to release Ontop, its affiliates, and representatives from any claims or liability arising from your participation. Ontop is not responsible for any technical issues, system failures, or other problems that may result in lost or incomplete transactions.

3.6 Governing Documents. Please refer to our Client General Terms and Conditions and Worker General Terms and Conditions and Privacy Policy, as well as the Ontop Card Terms of Service (collectively the “Ontop Platform Terms”), which govern any matters not explicitly covered by these Terms. Any capitalized terms not defined in these Terms will have the meaning ascribed to them within the Ontop Platform Terms.

3.7 Governing Law and Dispute Resolution. These Terms are governed by the laws of the State of Delaware. Any disputes arising from these Terms will be resolved through binding arbitration on an individual basis, as outlined in the Ontop Card Terms of Service.

3.8 Tax Implications. Participants are solely responsible for any federal, state, and local taxes and any other fees, charges, or expenses associated with the cashback rewards.

3.9 Data Privacy. By participating in the Campaign, you consent to the collection and use of your personal information as described in our Privacy Policy.
