These terms and conditions (these “Terms”) regulate the “Ontop Platform - February Limited Client Offers” campaign (this “Campaign”). Through the Campaign, selected Ontop Clients may be eligible to receive special rates, discounts or cashbacks on fees for Ontop Services.

1. DEFINITIONS:

1.1 “Campaign Period” means means the period between Friday, February 2, 2024, 11:30 am (GMT-5) and Saturday, February 10, 2024, 11:59 pm (GMT-5).

1.2 “Client” or “you” means any individual or legal entity that engages Ontop to contract, onboard, make payments to and/or manage its relationships with Workers.

‍

1.3 ““Ontop Fees” mean any fees charged to Clients by Ontop for the use of Ontop Services on the Ontop Platform, including, but not limited to membership fees, subscription fees, transaction fees, among others.

‍

Any definitions that are not defined by these Terms will have the meanings ascribed to them in the Ontop Platform Terms of Service.

2. CAMPAIGN  RULES:

2.1 To qualify as participants in this Campaign ("Participant"), you must:

‍

a. receive a communication from Ontop confirming your eligibility to participate in this Campaign and the specific offer(s) from among the 3 options in Sections 2.2-2.4 below; and

‍

b. confirm your participation in this Campaign by reaching out to the Ontop support team through the channels listed in Section 2.6 below.

2.2 50% Client Account Reactivation Discount. If you are an inactive Client on the Ontop Platform, you may receive an offer of a fifty percent (50%) discount off of Ontop Fees relating to payroll Services acquired during the Campaign Period (“Client Reactivation Discount”).

2.3 50% Cashback on Fees for Additional Workers. You may be eligible to receive a fifty percent (50%) cashback on Ontop Fees relating to payments of new Workers added on the Ontop Platform within the Campaign Period (“Additional Worker Cashback”).

2.4 20% Refund on Extra Payments Fees. If eligible, you will receive twenty percent (20%) cashback on extra payments (i.e. payments other than base compensation) made to Workers on the Ontop Platform within the Campaign Period (“Extra Payments Cashback”).

2.5 The Additional Worker and Extra Payments Cashbacks will be topped up to your Ontop Account balance and can be used for future acquisitions of Ontop Services.

2.7 The Ontop Fees subject to discounts or cashbacks will be ratified by the Ontop support team once you have confirmed your participation in this Campaign.

2.8 Please, bear in mind that discounts, refunds or cashbacks, and/or commissions may be subject to tax payments or declarations. You are solely responsible for any federal, state, and local taxes and any other fees, charges, or expenses associated with these amounts.

3. GENERAL CONDITIONS OF CAMPAIGN:

3.1 The Campaign will be valid throughout the Campaign Period.

3.2 Ontop reserves the right to (a) cancel, suspend, and/or modify the Campaign and (b) to block a Participant’s account at any time if it is determined that fraud or unlawful action is taking place in order to receive the benefits set forth in Sections 2.2- 2.4.

3.3 Ontop reserves the right to modify the conditions of eligibility for this Campaign and/or to cancel the Campaign, at any time and at its sole discretion.

3.4 Ontop reserves the right, at its sole discretion, to modify, change or update these Terms at any time. Modifications will be communicated by Ontop and will take effect immediately from the time of publication.

3.5 Please refer to our Ontop Platform Terms of Service and Privacy Policy (collectively the “Ontop Platform Terms”), which will govern any matters not explicitly covered by these Terms. Any capitalized terms not defined in these Terms will have the meaning ascribed to them within the Ontop Platform Terms.
