These Terms and Conditions (the “Terms”) govern the Ontop Retargeting Cashback Campaign (the “Campaign”).

During the Campaign Period, eligible new clients may receive a cashback incentive upon completing their first payroll through the Ontop platform.

1. DEFINITIONS:

1.1 “Campaign Period” The period between April 1, 2026, 8:00 am (GMT-5) and Tuesday, June 30, 2026, 11:59 pm (GMT-5).

1.2 “Cashback” Means the USD $100 credit granted under this Campaign to eligible clients.

1.3 “Ontop Balance” Means the internal client wallet within the Ontop platform, used to hold and apply credits exclusively toward payments and fees within the platform, in accordance with Ontop’s applicable terms.

1.4 “Participant(s)”Means new Ontop clients who meet the eligibility requirements set forth in these Terms. For the avoidance of doubt, participation is limited to one (1) incentive per client and per individual, regardless of the number of accounts created.

2. CAMPAIGN  RULES:

To participate in the Campaign, Participants must:

• Be new Ontop clients
• Have registered through a Campaign UTM-tagged link (utm_campaign=retargeting)
• Have their account properly attributed to the Campaign at signup
• Complete at least one (1) payroll through the Ontop platform

Ontop reserves the right to validate eligibility and attribution at its sole discretion.

3. CASHBACK MECHANICS

• Eligible Participants will receive USD $100 cashback
• Cashback will be granted once per Participant
• There is no minimum payroll amount required
• The Incentive cannot be combined with other promotions unless expressly stated

4. CASHBACK CREDITING

• Cashback will be credited to the Participant’s Ontop Balance
• Credit will be issued within thirty (30) days after the first payroll is completed
• Cashback is:
  • Non-transferable
  • Non-withdrawable
  • Not redeemable for cash

Use of the Ontop Balance is subject to Ontop’s applicable terms, including the Client General Terms and Conditions.

5. RESTRICTIONS

The following cases are not eligible for the Campaign:

• Accounts not properly attributed to the Campaign UTM
• Existing Ontop clients
• Multiple accounts created to obtain additional incentives
• Any activity identified as fraudulent, abusive, or non-compliant

Ontop reserves the right to withhold or revoke the cashback in such cases.

6. GEOGRAPHIC SCOPE AND COMPLIANCE

This Campaign is valid in all jurisdictions where Ontop operates and where payroll services are available.

Notwithstanding the above, Ontop reserves the right to exclude or restrict participation in any jurisdiction where the Incentive:

• is prohibited by law,
• is subject to specific regulatory requirements, or
• may trigger additional compliance obligations, including advertising, promotional, or tax-related restrictions.

7. MODIFICATION AND TERMINATION

Ontop reserves the right to:

• Modify, suspend, or terminate the Campaign
• Update these Terms at any time

Any modifications will be effective upon publication

8. GENERAL CONDITIONS OF CAMPAIGN:

8.1 Validity: The Campaign will be valid only during the Campaign Period as defined in Section 1.1.

‍

8.2 Fraudulent Activity. Ontop reserves the right to (a) cancel, suspend, and/or modify the Campaign and (b) to block a Participant’s account at any time if it is determined that fraud or unlawful action is taking place in order to gain additional cashback.

‍

8.3. Elegibility. Ontop reserves the right to modify the conditions of eligibility for this Campaign and/or to cancel the Campaign, at any time and at its sole discretion.

‍

8.4 Modification and Termination. Ontop reserves the right, at its sole discretion, to modify, change, or update these Terms at any time. Modifications will be communicated by Ontop and will take effect immediately from the time of publication.

8.4 Limitation of Liability. By participating in the Campaign, you agree to release Ontop, its affiliates, and representatives from any claims or liability arising from your participation. Ontop is not responsible for any technical issues, system failures, or other problems that may result in lost or incomplete transactions.

8.5 Governing Documents. These Terms should be read in conjunction with Ontop’s Client General Terms and Conditions,Client General Terms and Conditions which govern the provision of Ontop Services to its clients (the “Client T&Cs”). Any capitalized terms not defined herein shall have the meaning ascribed to them in the Client T&Cs, the Privacy Policy, as well as the Ontop Card Terms of Service (collectively the “Ontop Platform Terms”), which govern any matters not explicitly covered by these Terms. Any capitalized terms not defined in these Terms will have the meaning ascribed to them within the Ontop Platform Terms.

8.6 Governing Law and Dispute Resolution. These Terms are governed by the laws of the State of Delaware. Any disputes arising from these Terms will be resolved through binding arbitration on an individual basis, as outlined in the Ontop Card Terms of Service.

8.7 Tax Implications. Participants are solely responsible for any federal, state, and local taxes and any other fees, charges, or expenses associated with the cashback rewards.

‍

8.8 Data Privacy. By participating in the Campaign, you consent to the collection and use of your personal information as described in our Privacy Policy.
