These terms and conditions (these “Terms”) regulate the “Activate your Ontop Global Wallet and receive credit bonus” campaign (this “Campaign”). Through the Campaign, independent contractors who are users of the Ontop Platform available at www.getontop.com (“Contractors”) may be eligible to receive rewards for keeping a positive balance in the Ontop Global Wallet during the Campaign Period (as defined below).

1. DEFINITIONS:

1.1 “Campaign Period” means the period between Wednesday, February 25th, 2022, 00:00 (GMT-5) and Friday, March 25th, 2022, 11:59 pm (GMT-5).

1.2 “Ontop Card” means a digital prepaid card that Contractors can acquire through the Ontop Platform and top up by using their Ontop Global Wallet (as defined below) balance.

1.3 “Ontop Global Wallet” or simply “Wallet” means the e-wallet account which can be activated by and/or accessible to Contractors registered on the Ontop Platform that reflects the available balance of payments from the clients to whom the Contractors provide services, which can be held within the account balance and/or paid out to the independent contractor through a number of different payment methods.

2. CAMPAIGN RULES:

2.1 This Campaign automatically applies to all Contractors who are users of the Wallet, except for those Contractors who provide services directly to Ontop Holdings Inc. Contractor participants may be eligible to receive a credit bonus to their Ontop Card balance (“Card Bonus”). The Contractors who maintain a positive balance in the Wallet during the Campaign Period, will be entitled to receive the Card Bonus, in the amounts described in the table below:

2.2 For the purposes of determining the average Wallet balance over the Campaign Period (“Average Daily Balance”),  Ontop will consider the sum of the daily balance in the Contractor’s account over the Campaign Period divided by twenty-nine (29), i.e. the total number of days in the Campaign Period.

2.3 In order to be entitled to receive the Card Bonus, a Contractor must have an active Ontop Card by April 10, 2022 (“Card Application Deadline”). Contractors who do not have an active Ontop Card by the Card Application Deadline will not be entitled to receive the Card Bonus.

2.4 In the event that a Contractor is a legal entity who applied for an Ontop Card, but an Ontop Card was not issued due to additional compliance procedures applicable to legal entities, said Contractor will be eligible to receive an amount equivalent to the Card Bonus that shall be credited directly to their Wallet balance (“Wallet Cashback”).

2.5 After the calculation of the Average Daily Balance of each Contractor has been carried out, Ontop will make the Card Bonus available to the Contractor’s Ontop Card balance (or the Wallet Cashback to their Wallet balance, as applicable) during the month of April 2022.

2.6 The Card Bonus is personal and non-transferable. Please bear in mind that the Card Bonus and/or Wallet Cashback might be considered as a gift in your country of tax residency and therefore may be subject to tax payments or declarations.

3. GENERAL CONDITIONS OF CAMPAIGN:

3.1 The Campaign will be valid throughout the Campaign Period.

3.2 Ontop reserves the right to (a) cancel the Campaign and (b) to block a Contractor’s account at any time if it is determined that fraud or unlawful action is taking place in order to obtain the benefit of the Card Bonus.

3.3 Ontop reserves the right to modify the conditions of eligibility for this Campaign and/or to cancel the Campaign, at any time and at its sole discretion.

3.4 Ontop reserves the right, at its sole discretion, to modify, change or update these Terms at any time. Modifications will be communicated by Ontop and will take effect immediately from the time of publication.

3.5 Please refer to our Ontop Platform Terms of Service and Privacy Policy (collectively the “Ontop Platform Terms”), which shall govern any matters not explicitly covered by these Terms. All participants in the Campaign will need to have explicitly accepted our Ontop Platform terms to be eligible for the Card Bonus. Any capitalized terms in these Terms that are not defined herein shall have the meaning ascribed to them within the Ontop Platform Terms.
