Campaign Begins: Monday, July 27, 2026, 12:00 am (GMT-5)
Campaign Ends: Monday, August 31, 2026, 11:59 pm (GMT-5)

These Terms and Conditions (the "Terms") govern the "Restaurant Cashback – Ontop Anniversary" campaign (the "Campaign"). Eligible Ontop workers may participate in a promotional offer to receive cashback on purchases made at restaurants, exclusively on August 31, 2026, using the Ontop Card.

1. DEFINITIONS

1.1 "Campaign Period"
Means the period between July 27, 2026, at 12:00 am (GMT-5) and August 31, 2026, at 11:59 pm (GMT-5).

1.2 "Eligible Day" / "Anniversary Day"
Means August 31, 2026, the only day on which purchases may qualify for cashback under this Campaign.

1.3 "Ontop Card"
Means the prepaid card (physical or digital) issued by Ontop and linked to the worker's Ontop Wallet.

1.4 "Eligible Transaction"
Means any transaction made with the Ontop Card that meets all of the following:

• Made exclusively on August 31, 2026.
• Made at a merchant whose MCC (Merchant Category Code) is a restaurant-type MCC (see Section 3).
• Successfully completed and settled (not pending, reversed, or refunded).

1.5 "Participant(s)"
Means Ontop workers who:

• Receive the Campaign notification.
• Complete an Eligible Transaction on the Eligible Day.
• Comply with these Terms.

1.6 "Reward"
Means the cashback percentage (5% or 15%, as applicable) applied to the value of the first Eligible restaurant Transaction made on August 31, 2026.

2. CAMPAIGN RULES

To receive the Reward, workers must:

• Have an active Ontop account.
• Have an active Ontop Card.
• Receive the Campaign notification.
• Complete an Eligible Transaction on the Eligible Day (August 31, 2026).
• Comply with Ontop's General Terms and Conditions.

3. MCC-BASED VALIDATION MECHANICS

Whether a purchase qualifies as a restaurant purchase will be determined solely based on the merchant's MCC as reported on the transaction. No other factors (merchant name, user-declared category, location, etc.) will be considered.

Valid MCCs (examples):

• Eating Places, Restaurants
• Fast Food Restaurants
• Caterers

Invalid MCCs (expressly excluded):

• Drinking Places (bars, nightclubs, and similar)
• Delivery / food delivery platforms
• Any other MCC not specifically corresponding to the restaurant category

Ontop reserves the right to update or clarify the list of valid/invalid MCCs during the Campaign Period, without affecting transactions already settled in compliance with these Terms.

4. CASHBACK CALCULATION

• Non-Reserve workers: receive 5% cashback on the value of their first Eligible Transaction on August 31, 2026.
• Reserve workers (active, not in free trial): receive an additional 15% cashback, on top of the 5% base cashback they already receive as Reserve members, for a combined total of 20% on the transaction value.
• Reserve free-trial workers: do not qualify for the additional 15% under this Campaign. Their Reward will be calculated at the standard non-Reserve rate (5%).
• The Reward applies once per Participant, to the first Eligible restaurant Transaction made on August 31, 2026. Additional transactions that same day do not generate additional Reward.
• Only the settled transaction amount will be considered for cashback calculation.

Note: the original document included a USD cap on cashback; these Terms don't specify one. Let me know if you want to add a cap (e.g. USD X) before publishing.

5. REWARD DISTRIBUTION

• Cashback will be credited to the Participant's Ontop Wallet once the Eligible Transaction is validated.
• The final settlement date for this Campaign is September 4, 2026, after which no additional transactions will be considered.
• Ontop reserves the right to verify the eligibility of each transaction and Participant before issuing the Reward.
• The Reward is non-transferable and may not be exchanged for other benefits.

6. RESTRICTIONS

The following will not be considered:

• Transactions made on any date other than August 31, 2026.
• Transactions whose MCC does not correspond to the valid restaurant categories in Section 3.
• Pending, reversed, refunded, or canceled transactions.
• Transactions identified as fraudulent or abusive.
• Purchases made by workers in Reserve free trial, for purposes of the additional 15% (only the 5% rate will apply).

Ontop reserves the right to disqualify any Participant suspected of attempting to manipulate or abuse the Campaign.

7. MODIFICATION AND TERMINATION

Ontop reserves the right to:

• Modify or suspend the Campaign.
• Adjust validation criteria, including the list of eligible MCCs.

Modifications will not affect transactions already completed in compliance with these Terms.

8. PERSONAL DATA

Participation in this Campaign implies consent for Ontop to process personal data strictly for Campaign administration purposes, in accordance with Ontop's Privacy Policy.

9. ACCEPTANCE OF TERMS

Participation in this Campaign constitutes full acceptance of these Terms and Ontop's General Terms and Conditions.

10. GENERAL CONDITIONS

10.1 Validity — The Campaign is valid only during the Campaign Period defined in these Terms, and the Reward applies only to purchases made on August 31, 2026.

10.2 Fraudulent Activity — Ontop may cancel, suspend, or modify the Campaign, and block a Participant's account, if fraud or improper cashback-seeking is detected.

10.3 Eligibility — Ontop reserves the right to modify eligibility conditions or cancel the Campaign at any time, at its sole discretion.

10.4 Modification — Ontop may modify, change, or update these Terms at any time; changes take effect immediately upon publication.

10.5 Limitation of Liability — By participating, Participants release Ontop, its affiliates, and representatives from any claims arising from participation. Ontop is not responsible for technical failures resulting in incomplete transactions.

10.6 Governing Documents — The Ontop Platform Terms also apply, including Client and Worker General Terms and Conditions, the Privacy Policy, and the Ontop Card Terms of Service.

10.7 Governing Law — These Terms are governed by the laws of the State of Delaware. Disputes will be resolved through binding arbitration under the Ontop Card Terms of Service.

10.8 Tax Implications — Participants are solely responsible for any taxes associated with the cashback received.

10.9 Data Privacy — By participating, you consent to the collection and use of your personal information in accordance with Ontop's Privacy Policy.
