Explorer Journey Program - Terms and Conditions

Program Period 📅

The Program begins on July 2, 2026.

Only qualifying activities completed on or after July 2, 2026 will be eligible for rewards under the Program unless otherwise communicated by Ontop.

The Program will remain active until terminated, suspended, or modified by Ontop.

These Terms and Conditions (the “Terms” or “T&Cs”) apply to users participating in the Explorer Journey Program (the “Program”) operated by Ontop Holdings Inc. (“Ontop”, “we”, “us”, or “our”).

By participating in the Program, you agree to be bound by these Terms and Ontop’s General Terms and Conditions.

1. Program Overview 🪂

The Explorer Journey Program allows eligible users to unlock rewards by completing specific milestones within the Ontop Global Account ecosystem.

The Program is designed to encourage users to activate, fund, use, and grow their relationship with Ontop through a series of qualifying actions.

Rewards may include cash rewards, product benefits, promotional entries, cashback offers, and other incentives communicated by Ontop.

For purposes of these Terms, “USDc” refers to the USDc denominated balance made available within the Ontop Personal Account and reflected in Ontop’s systems, which may be supported through different rails, partners, and/or networks as determined by Ontop.

1. Program Overview 🪂

The Explorer Journey Program allows eligible users to unlock rewards by completing specific milestones within the Ontop Global Account ecosystem.

The Program is designed to encourage users to activate, fund, use, and grow their relationship with Ontop through a series of qualifying actions.

Rewards may include cash rewards, product benefits, promotional entries, cashback offers, and other incentives communicated by Ontop.

For purposes of these Terms, “USDc” refers to the USDc denominated balance made available within the Ontop Personal Account and reflected in Ontop’s systems, which may be supported through different rails, partners, and/or networks as determined by Ontop.

2. Eligibility 🎟️

To participate, users must:

• Have an active Ontop Global Account
• Complete identity verification (KYC) and onboarding requirements
• Receive communication regarding the Program through official Ontop channels
• Remain in good standing with Ontop throughout the Program period

Ontop reserves the right, at its sole discretion, to approve, reject, or remove any participant from the Program at any time.

3. Rewards Structure 💸

Participants may unlock rewards by completing eligible milestones during the Program period.

Milestone - Reward

1. Open Global Account: USD$25 + one (1) month of Reserve
2. Receive Your Virtual Card: Physical card production and shipping fees waived
3. Fund Personal Account: One (1) entry into the applicable Dream Destination giveaway
4. First Eligible Card Purchase: 5% cashback on the first eligible purchase
5. First Valid Payment: USD $100
6. Third Valid Payment: USD $500

Rewards are non-transferable and may not be exchanged for alternative benefits unless expressly authorized by Ontop.

Ontop reserves the right to modify, suspend, replace, or terminate any reward at any time.

Taxes. Participants are solely responsible for any and all taxes, duties, levies, fees, or other governmental charges (including any associated interest or penalties) arising from or related to the receipt, use, or redemption of any Reward. Ontop does not provide tax advice and recommends that Participants consult their own tax advisors.

4. Valid Activity 🧾

To qualify for rewards, participants must complete the applicable milestone as determined by Ontop's internal systems.

Open Global Account

To qualify:

• The Participant must successfully open and activate an eligible Ontop Global Account.
• The account must remain active and in good standing.

Receive Your Virtual Card

To qualify:

• The Participant must successfully obtain an eligible Ontop virtual card.
• The virtual card must be issued through approved Ontop channels.
• The Participant must satisfy any applicable eligibility, compliance, and account requirements.

Upon successful completion of this milestone, Ontop may waive the applicable production and shipping fees associated with the Participant’s first eligible physical card.

Fund Personal Account

To qualify:

• The Participant must complete an eligible external deposit into their Personal Account (USDc).

Eligible funding methods may include:

• Bank transfers
• Wire transfers
• Supported crypto deposits
• Other funding methods approved by Ontop

The following do not qualify:

• Internal Ontop transfers
• Transfers from Payroll balances
• Reversed transactions
• Cancelled deposits
• Fraudulent or suspicious activity

Only completed and validated deposits will be considered.

First Eligible Card Purchase

To qualify:

• The Participant must complete a valid purchase transaction using an eligible Ontop card.

The following do not qualify:

• ATM withdrawals
• Cash-equivalent transactions
• Reversed transactions
• Chargebacks
• Fraudulent activity

Only completed and settled transactions will be considered.

First Valid Payment / Third Valid Payment

To qualify:

• Payments must correspond to legitimate services provided by the Participant.
• Payments must be initiated by an independent third-party client (an individual or company not owned or controlled by the Participant).
• Payments from the Participant themselves, or from accounts or entities under their control, will not be considered valid.
• Payments must be completed using the Request Payment feature, including payment links or invoices.
• Payments must be received into the Participant’s Personal Account (USDc).
• Transfers between Ontop accounts, including transfers initiated from a Payroll Account, will not be considered valid.

Only completed and validated payments will be considered.

5. Dream Destination Giveaway 🎫

Participants who complete the applicable funding milestone may receive one (1) entry into the Dream Destination giveaway.

The giveaway may be conducted quarterly or on another schedule determined by Ontop.

Additional giveaway rules, prize descriptions, winner selection procedures, eligibility requirements, and restrictions may be communicated separately.

Participation in the giveaway is subject to applicable laws and regulations

6. Verification Process 🔍

Ontop may verify qualifying activity through internal systems.

If automatic verification is not possible, users may be required to provide supporting documentation, including but not limited to:

• Payment confirmations
• Transaction receipts
• Proof of service

Ontop reserves the right to request additional information at any time.

Rewards will only be granted after successful verification.

7. Additional Programs 🔗

‍

Rewards are not issued instantly.

Rewards are subject to validation and approval.

Unless otherwise communicated:

• Cash rewards may be processed within a reasonable timeframe following verification.
• Cashback rewards may be processed after settlement of the qualifying transaction.
• Giveaway entries may be recorded after validation of the applicable milestone.
• Product-related rewards may be fulfilled separately and may be subject to availability and operational limitations.

Ontop reserves the right to delay, deny, reverse, or withhold rewards in cases of:

• Fraud
• Abuse
• Suspicious activity
• Operational errors
• Violations of these Terms

8. Reward Payout 💳

Participants who demonstrate sustained engagement with Ontop may be considered for additional programs, including the Ontop Ambassadors Program.

Participation in any such program is subject to separate eligibility requirements, approval processes, and applicable terms and conditions.

Participation in the Explorer Journey Program does not guarantee eligibility for, acceptance into, or participation in any other Ontop program.

9. Governing Documents and Policies 📄

9.1 💻 Participant General Terms and Conditions

The Global Account and Ontop Pay Terms and Conditions govern Ontop Services to its Workers in general (“Client T&Cs”). Any definitions that are not defined by these Terms will have the meanings ascribed to them in the Client T&Cs.

9.2 🔐 Privacy Policy

The Ontop Privacy Policy provides information on how Ontop collects, processes, uses, retains and discloses personal data and/or other information that it receives from Participants that sign up for this Program. Participants acknowledge and understand that Ontop may collect, process, use, retain and disclose User personal data and/or other information pursuant to Ontop’s Privacy Policy, as updated from time to time.

9.3 🧺 AML Policy

Your access to the Program is also subject to our Anti-Money Laundering Policy.

10. Term and Termination ⏳✂️

Ontop reserves the right to:

• modify
• pause
• limit
• extend
• or terminate

the Program at any time

11. General 🪖‍

11.1 🔀 Changes

These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an email to the last email address you provided to us (if any), and/or by prominently posting notice of the changes on our website. You are responsible for providing us with your most current email address. In the event that the last email address that you have provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the email containing such notice will nonetheless constitute effective notice of the changes described in the notice. Any changes to these Terms will be effective immediately. Continued participation in the Program following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.

11.2 ⚖️ Governing Law

These Terms and Conditions will be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Each party irrevocably agrees that the state and federal courts in Miami-Dade County, Florida will have jurisdiction to settle any such dispute or claim.

11.3 Electronic Communications

The communications between you and Ontop use electronic means. For contractual purposes, you consent to receive communications electronically and agree that such communications satisfy any legal requirement.

11.4 Entire Terms

These Terms constitute the entire agreement between you and Ontop regarding the Program.

11.5 Acceptance of Terms

By participating in the Program, you acknowledge that you have read, understood, and agreed to these Terms.
