User research program – Terms and Conditions

These Terms and Conditions (the β€œTerms” or β€œT&Cs”) are applicable to all individuals who participate in the User research program  (the β€œProgram”) operated by Ontop Holdings Inc., a corporation organized under the laws of the State of Delaware (β€œOntop”, β€œwe”, β€œus”, or β€œour”).

🧐 PLEASE READ THESE TERMS CAREFULLY BEFORE PARTICIPATING IN THE PROGRAM. THESE TERMS ARE NON-NEGOTIABLE.

By participating in the Program, you agree to be bound by these Terms and Ontop’s General Terms and Conditions.

1. Program Overview πŸͺ‚

The User Research Program allows eligible Ontop users to participate in voluntary research activities (such as interviews, surveys, or usability sessions) in exchange for a participation incentive, where applicable.The Program is designed to help Ontop understand how users interact with its products and services in order to improve the user experience. Participation is entirely voluntary and does not affect a user's access to, or conditions of, any Ontop product or service.

For purposes of these Terms, "Research Activity" refers to any interview, survey, usability test, or feedback session conducted by Ontop or its authorized representatives, in any format (video call, phone, written, or in-app).

The Program is available for a limited time and to a limited number of participants. It is valid only from June 12, 2026 until June 19, 2026,or until the maximum number of eligible participants (25) has been reached, whichever occurs first. Participation is not guaranteed and is allocated on a first-come, first-served basis among invited users.

2. Who or What is That? πŸ™‹

"Ontop" means Ontop Holdings Inc. and/or its applicable affiliates that operate the Ontop services.

"Program" or "User Research Program" means Ontop's limited and voluntary user research initiative through which eligible users may participate in Research Activities and, where applicable, receive an Incentive, subject to these Terms.

"Participant" means an eligible Ontop user who has been invited to participate in the Program and who accepts these Terms.

"Research Activity" means any interview, survey, usability test, feedback session, or similar research engagement conducted by Ontop or its authorized representatives, in any format, including video calls, phone calls, written questionnaires, or in-app interactions.

"Incentive" means any reward offered by Ontop in connection with participation in a Research Activity, as communicated through official Ontop channels and subject to these Terms.

3. Elegibility 🎟️

To participate, users must:

  • Have an active Ontop Global Account
  • Be an active Payroll user on Ontop
  • Be at least 25 years of age
  • Complete any required identity verification or onboarding steps
  • Receive an invitation to participate from Ontop
  • Voluntarily agree to these Terms and the applicable consent disclosures

Ontop reserves the right to approve, reject, or remove participants at its sole discretion.

4. Incentive Structure πŸ’Έ

Eligible participants may receive a participation incentive as communicated by Ontop through official channels (e.g., email, in-app messages, or scheduling confirmations) prior to the Research Activity.

Elegible Deposits of 50+ :

  1. Interview - approx 30min = Reward: USD $10
  2. Survey - approx. 10 questions = Reward: USD $5

    The incentive amount, format (account credit), and conditions will be specified at the time of invitation. The Program is limited to the first 25 eligible participants and ends on June 19, 2026. Once the participant limit is reached or the end date has passed β€” whichever occurs first β€” no further participation or incentives will be available, even if an invitation was previously received. Ontop may modify, suspend, or terminate the Program or any incentive at any time. Incentives are granted only upon completion of the agreed Research Activity.
5. Valid Activity 🧾

To qualify for any applicable incentive, the participant must:

  • Attend and complete the scheduled Research Activity in full
  • Provide genuine, good-faith responses
  • Complete any consent or verification steps required

The following do NOT qualify:

  • Incomplete or abandoned sessions
  • No-shows or cancellations without rescheduling
  • Duplicate participation in the same study (unless invited)
  • Fraudulent, misleading, or bad-faith responses.

6. Data Collection and Consent πŸ”

By participating, users acknowledge that Research Activities may be recorded (audio and/or video) and that notes may be taken, solely for internal research purposes.

Participants are explicitly instructed not to share sensitive personal or financial information during any Research Activity β€” including account balances, specific monetary amounts, passwords, card numbers, or government identification.

Recordings and notes will be used only to improve Ontop's products and services, will be accessible to authorized personnel only, and will be handled in accordance with Ontop's Privacy Policy. Participants may withdraw their consent or end the session at any time without penalty.

7. Incentive Payout πŸ’³
  • Incentives are not issued instantly
  • Incentives are subject to confirmation of completed participation
  • Approved incentives are expected to be processed within [15] business days after the Research Activity, however processing times may vary due to operational constraints or technical issues

Ontop reserves the right to delay, deny, reverse, or withhold incentives in cases of:

  • fraud
  • abuse
  • bad-faith or misleading participation
  • operational errors
  • violations of these Terms

8. Restrictions and Prohibited Conduct 🚫

Participants must not:

  • Provide false or misleading information
  • Misrepresent their identity or eligibility
  • Attempt to participate multiple times to obtain additional incentives
  • Record, reproduce, or share Research Activity materials or any Ontop confidential information disclosed during the session

Ontop reserves the right to deny incentives, suspend participation, or terminate eligibility in cases of fraud, abuse, or violations of these Terms.

9. Governing Documents and Policies πŸ“„

8.1 πŸ’» Client General Terms and Conditions. The Client General Terms and Conditions govern Ontop Services to its Clients in general (β€œClient T&Cs”). Any definitions that are not defined by these Terms will have the meanings ascribed to them in the Client T&Cs.

8.2 πŸ” Privacy Policy. The Ontop Privacy Policy provides information on how Ontop collects, processes, uses, retains and discloses personal data and/or other information that it receives from Participants that sign up for this Program. Participants acknowledge and understand that Ontop may collect, process, use, retain and disclose User personal data and/or other information pursuant to Ontop’s Privacy Policy, as updated from time to time.

8.3 🧺 AML Policy. Your access to the Program is also subject to our Anti-Money Laundering Policy.

9. Term and Termination β³βœ‚οΈ

The Program runs until June 19, 2026, or until the maximum of 25 eligible participants has been reached, whichever occurs first. Ontop reserves the right to modify, pause, limit, extend, or terminate the Program at any time, including before the stated end date.

10. General πŸͺ–

10.1 πŸ”€ Changes. These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an email to the last email address you provided to us (if any), and/or by prominently posting notice of the changes on our website. You are responsible for providing us with your most current email address. In the event that the last email address that you have provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the email containing such notice will nonetheless constitute effective notice of the changes described in the notice. Any changes to these Terms will be effective immediately. Continued participation in the Program following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.

10.2 βš–οΈ Governing Law. These Terms and Conditions will be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Each party irrevocably agrees that the state and federal courts in Miami-Dade County, Florida will have jurisdiction to settle any such dispute or claim.

10.3 Electronic Communications. The communications between you and Ontop use electronic means, whether you use our Website or send us emails. For contractual purposes, you (a) consent to receive communications from us in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Company provides to you electronically satisfy any legal requirement that such communications would satisfy as if it were a hardcopy. The foregoing does not affect your non-waivable rights.

10.4 Entire Terms. These Terms constitute the entire agreement between you and us regarding the Program. Our failure to exercise or enforce any right or provision of these Terms shall not be constituted as a waiver of such right or provision. The section titles used in these Terms are for convenience only and have no legal or binding effect. The word β€œincluding” means β€œincluding without limitation”. If any provision of these Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. Your relationship to Ontop is that of an independent contractor, and neither party is an agent or partner of the other. These Terms and your rights and obligations hereunder may not be assigned, subcontracted, delegated or otherwise transferred by you without Ontop’s prior written consent, and any attempted assignment, subcontracting, delegation or transfer in violation of the foregoing will be null and void. Ontop may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.

10.5 Acceptance of Terms. By participating in the Program, you acknowledge that you have read, understood, and agreed to these Terms.
