These terms and conditions (these “Terms”) regulate the “JP Morgan Deal” campaign (this “Campaign”). Through the Campaign, eligible JP Morgan Clients (as defined below) who book and attend a Demo Call (as defined below) and engage any B2B Services (as defined below) during the Campaign Period (as defined below) may be eligible to receive special benefits, rates, discounts or credits on fees for B2B Services. Please refer to Section 3.6 below for the disclaimer regarding “JP Morgan” brand name.

1. DEFINITIONS:

1.1 🏢🛎️ “B2B Services” or the “Services” are the suite of payroll and payment management services available to Clients on the Ontop Platform, including but not limited to contracting, onboarding, making payments to and/or managing relationships with Workers.

1.2 “Campaign Period” means the period between Tuesday, April 16, 2024, 5:00 am (GMT-5) and Saturday, March 1, 2025, 5:30 am (GMT-5).

‍

1.3 “Ontop Website” or the “Website” means the website located at www.getontop.com.

‍

1.4 “JP Morgan Clients” means the individual shareholders or founders of companies that have active products or services provided by JP Morgan (“JP Morgan Clients”).

‍

Any capitalized terms that are not defined by these Terms will have the meanings ascribed to them in the B2B General Terms and Conditions.

2. CAMPAIGN  RULES:

2.1 To qualify as a participant in this Campaign (“Participant”), you must:

‍

a. be a JP Morgan Client;

‍

b. Not having contracted or engaged any B2B Services with Ontop before the Campaign Period;

‍

c. set up a demo video call with Ontop sales representatives (the “Demo Call”) through the Ontop Website at https://www.getontop.com/referral-partner/j-p-morgan#form;

‍

d. attend and complete the entire Demo Call with video and audio turned on, in addition to actively participating and interacting with the Ontop sales representative; and

‍

e. contract any of our B2B Services on an annual commitment basis (at least, twelve months).

‍

2.2 Participants in this Campaign may be eligible to receive the following discounts and/or benefits for their corresponding company (the “Deal”) if they meet the conditions of eligibility in Section 2.1 above:

‍

a. six (6) months of Contractors' Ontop fees waived for up to five (5) Contractors with an annual commitment;

‍

b. $500 USD credit if you hire at least one (1) full-time employee;

‍

2.3 The Deal is personal and non-transferable. Please, bear in mind that the Deal might be considered a gift in your country of tax residency and, therefore, may be subject to tax payments or declarations. You are solely responsible for any federal, state, and local taxes and any other fees, charges, or expenses associated with the Deal.

3. GENERAL CONDITIONS OF CAMPAIGN:

‍3.1 The Campaign will be valid throughout the Campaign Period.

3.2 Ontop reserves the right to (a) cancel, suspend, and/or modify the Campaign and (b) to block a Participant’s account at any time if it is determined that fraud or unlawful action is taking place in order to obtain the Deal.

‍

3.3 Ontop reserves the right to modify the conditions of eligibility for this Campaign and/or to cancel the Campaign, at any time and at its sole discretion.

‍

3.4 Ontop reserves the right, at its sole discretion, to modify, change or update these Terms at any time. Modifications will be communicated by Ontop and will take effect immediately from the time of publication.

3.5 Please refer to our B2B General Terms and Conditions and Privacy Policy (collectively the “Ontop Platform Terms”), which will govern any matters not explicitly covered by these Terms. Any capitalized terms not defined in these Terms that will have the meaning ascribed to them within the Ontop Platform Terms.

3.6 Ontop is the sole sponsor of this Campaign. The “JP Morgan” name is a registered trademark of JPMorgan Chase & Co., and is used solely for the purpose of identifying the Participants. All rights, titles, and interests in these trademarks belong to their respective owners.
