These terms and conditions (these “Terms”) regulate the “VC and Accelerator Discounts Campaign” campaign (this “Campaign”). Through the Campaign, eligible Y Combinator Alumni (as defined below), companies from H20 Capital’s portfolio (as defined below) that book and attend a Demo Call (as defined below), companies that are part of the Endeavor community and/or are part of the Magma Partner’s community and engage any Client Services (as defined below) during the Campaign Period (as defined below) may be eligible to receive special benefits, rates, discounts or credits on fees for Client Services. Please refer to Section 3.5 below for the disclaimer regarding “Y Combinator”, “H20 Capital” and “Endeavor” brands name.

1. DEFINITIONS:

1.1 🏢🛎️ “Client Services” or the “Services” are the suite of payroll and payment management services available to Clients on the Ontop Platform, including but not limited to contracting, onboarding, making payments to and/or managing relationships with Workers.

1.2 Ontop Website” or the “Website” means the website located at www.getontop.com.

‍

1.3 “Y Combinator Alumni” means the individual shareholders or founders of companies that make part of the Y Combinator community (“YCombinator Companies”) and have an active account at https://bookface.ycombinator.com/.

‍

1.4 “H20 Capital’s portfolio” means a company that makes part of H20 Capital’s community and has completed the form mentioned 2.1.b.

‍

1.5 1.5 “Company part of the Endeavor community” means a company that is a member of the Endeavor community or newsletter.

‍

1.6 “Company part of the Magma Partner’s community” means a company that is a member of the Magma Partner’s community or newsletter.

‍

Any capitalized terms that are not defined by these Terms will have the meanings ascribed to them in the Client General Terms and Conditions.

2. CAMPAIGN  RULES:

2.1 To qualify as a participant in this Campaign (“Participant”), you must:

‍

a. be a Y Combinator Alumni, a company from H20 Capital’s portfolio, a company part of the Endeavor community and/or a company part of the Magma Partner’s community;

‍

b. set up a demo video call with Ontop sales representatives (the “Demo Call”) through the Ontop Website at https://www.getontop.com/partner-y-combinator/alumni for Y Combinator alumni and https://www.getontop.com/referral-partner/h-20 for H20 Capital. Magma Partner’s community members must complete the form displayed at: https://www.getontop.com/magma-partners;

c. attend and complete the entire Demo Call with video and audio turned on, in addition to actively participating and interacting with the Ontop sales representative; and

‍

d. contract any of our Client Services for, at least, six (6) months.

2.2 Participants in this Campaign that meet the conditions of eligibility mentioned in Section 2.1 above may be eligible to receive the following discounts and/or benefits for their corresponding company (the “Deal”), for up to six (6) months:

Contractor Discounts:

- One (1) to five (5) contractors: $49 USD per contractor, per month. No fees charged for the first two months.

- Six (6) to seven (7) contractors: special price of $40 USD per contractor, per month.

- Eight (8) to nine (9) contractors: special price of $35 USD per contractor, per month.

- Ten (10) or more contractors: special price of $30 USD per contractor, per month.

EOR Discounts:

- Four (4) to Five (5) EOR workers: special price of $470 USD per worker, per month.

- Five (6) to seven (7) EOR workers: special price of $450 USD per worker, per month.

- Eight (8) to nine (9) EOR workers: special price of $430 USD per worker, per month.

- Ten (10) or more EOR workers: special price of $415 USD per worker, per month.

None of the mentioned discounts and/or benefits are cumulative.

‍2.3 The Deal is personal and non-transferable. Please, bear in mind that the Deal might be considered a gift in your country of tax residency and, therefore, may be subject to tax payments or declarations. You are solely responsible for any federal, state, and local taxes and any other fees, charges, or expenses associated with the Deal.

3. GENERAL CONDITIONS OF CAMPAIGN:

‍3.1 Ontop reserves the right to (a) cancel, suspend, and/or modify the Campaign and (b) to block a Participant’s account at any time if it is determined that fraud or unlawful action is taking place in order to obtain the Deal.

3.2 Ontop reserves the right to modify the conditions of eligibility for this Campaign and/or to cancel the Campaign, at any time and at its sole discretion.

‍

3.3 Ontop reserves the right, at its sole discretion, to modify, change or update these Terms at any time. Modifications will be communicated by Ontop and will take effect immediately from the time of publication.

3.4 Please refer to our Client General Terms and Conditions and Privacy Policy (collectively the “Ontop Platform Terms”), which will govern any matters not explicitly covered by these Terms. Any capitalized terms not defined in these Terms that will have the meaning ascribed to them within the Ontop Platform Terms.

3.5 Ontop is the sole sponsor of this Campaign. The “Y Combinator” name is a registered trademark of Y Combinator Management, LLC. The “H20 Capital” name is a registered trademark of H20 Capital Innovation, LLC. The “Endeavor” name is a registered trademark of Fundacion Endeavor Colombia. The “Magma Partner’s” name is a trademark of Magma Partner’s. These trademarks are used solely for the purpose of identifying the Participants. All rights, titles, and interests in these trademarks belong to their respective owners.
